How to change your statutory agent in Ohio
Ohio calls the role statutory agent. Use Form 521's new-agent appointment option, not its address-only or resignation option, and obtain the incoming agent's signed Acceptance of Appointment for the domestic LLC.

Choose the right Ohio filing
Ohio uses statutory agent, and Form 521 combines three different transactions: appointing a new agent, changing the existing agent's address and recording an agent's resignation. Selecting the correct option matters as much as entering the right name. For the domestic LLC replacement covered here, the incoming agent signs an Acceptance of Appointment and the LLC separately executes its update. The current form's indexed instructions were available, including its entity-specific rules, but direct access to multiple official PDF endpoints was blocked. Retrieve the current packet before filing rather than relying on an old three-page copy.

Which route fits your statutory agent change?
- Appoint a successor statutory agent
Choose Form 521's appointment-of-new-agent option. Complete the replacement name and Ohio agent address, obtain the Acceptance of Appointment and execute the entity update. An address-only selection does not describe appointing a different legal person, even if the replacement works at the former agent's location. Source 2.
- Existing agent changes its address
Use the current-agent address-change option when the appointed legal agent remains the same and its address changes. The form has a separate New Address of Agent section for that purpose. Confirm the person remains appointed before selecting this transaction instead of a new appointment. Source 2.
- Agent resigns rather than LLC replacing it
Form 521 also has a resignation option with its own applicable statements and execution. The outgoing agent's resignation is not the same act as the LLC appointing a replacement. Use the appointment option for the replacement and read the current instructions separately if a resignation is also involved. Source 2.
- Foreign LLC acceptance is included
Although the acceptance block's heading refers to a domestic entity's agent, the current instructions include Ohio entities and foreign LLCs when the new-agent option is selected. Do not omit a foreign LLC's acceptance based solely on the heading. Other foreign entity types require their own instruction check. Source 2.
Prepare for the change in Ohio
- Collect the existing entity identifiers
Have the business's legal name and charter, license or registration number ready, along with the current statutory-agent information. Identify the existing Ohio filing, not a federal tax account. This is especially important for a foreign LLC whose Ohio record may be maintained separately from its home-jurisdiction registration. Source 1.
- Check a usable Ohio agent address
The current instructions permit the agent's primary residence or usual business address in Ohio. They do not allow a commercial mail receiving agency address and generally do not permit a post office box, apart from the stated rural-route combination. Obtain the actual qualifying location rather than a provider's billing address. Source 2.
- Arrange agent acceptance
The agent acknowledges and accepts the appointment in the Acceptance of Appointment section. An individual signs personally; an organizational agent signs through an appropriate representative. Keep the agent's legal identity consistent between the appointment and acceptance so the signer is accepting for the person actually named. Source 2.
- Arrange LLC execution separately
For a domestic or foreign LLC, the current instructions require execution by a member, manager or authorized representative. Identify that signer before submission. Agent acceptance answers whether the agent accepts the appointment; it does not replace the LLC's execution in the entity-signature portion. Source 2.
- Choose a monitored return contact
The current form includes Return Documents To information. Use a person who can monitor the result and respond if the filing needs correction. Preserve the relationship between that contact and the entity record; a preparer's return address is not necessarily the statutory-agent address. Source 1.
Consent and acceptance
For the domestic LLC appointment covered here, the incoming agent signs the Acceptance of Appointment on Form 521. An organizational agent uses its authorized representative. Do not treat only the LLC's authorization signature as the incoming agent's acceptance.
Entity-type differences
Form 521 also covers corporations, foreign entities and other entity types, but execution depends on entity type. Its acceptance instructions include Ohio entities and foreign LLCs; do not read the domestic-agent heading as excluding foreign LLC appointments. Domestic and foreign LLC updates are signed by a member, manager or authorized representative. Resignation and the current agent's address change are different transactions.
Complete the Ohio change filing

Form fields and statement requirements
- Entity name and registration identifier
Enter the existing business name and charter, license or registration number in the entity-identification portion. Check the entity type before applying the signature instructions. A corporate execution assumption should not replace the current instructions for an LLC. Source 1.
- Transaction selection and agent information
Select the new-agent option for an actual replacement and enter the incoming legal name and Ohio address in that section. Use the separate New Address of Agent section for the same-agent address option. Do not fill an address-only section and assume it appoints the new provider named elsewhere. Source 2.
- Acceptance of Appointment
Identify the statutory agent and represented business in the acknowledgment and obtain the agent's signature. The current indexed instructions include Ohio entities and foreign LLCs for this new-agent acceptance. The section's heading should be read with those instructions, not treated as a reason to omit a required signature. Source 2.
- Entity signatures and return information
Complete the LLC execution through a member, manager or authorized representative, and finish the return-document information. Keep both functions distinct from the incoming agent's acceptance signature. This guide does not invent authenticated filing screens or assume an older packet's page numbers still apply. Source 2.

- Online business filing service
The current official Form 521 directs users to the Secretary of State's business filing service for online filing. Use the statutory-agent update for the correct existing entity and follow the current service's execution requirements. The authenticated workflow itself was not inspected in this review. Source 1.

Form 521 also supplies submission instructions for a completed packet. Retrieve that packet before delivering it, including the acceptance and signature instructions. Direct official PDF retrieval was blocked here, so no stale delivery address or asserted turnaround is substituted for the current instructions. Source 2.

Verify the change and finish the transition
- Retain the accepted update
Practical guidance. Save the submitted version, agent acceptance and accepted result together. Distinguish a payment acknowledgment or delivery confirmation from the office's filing result. If a correction was required, make the accepted corrected document the primary record in the LLC's folder.
- Check legal name and address
Practical guidance. Compare the recorded statutory agent with the intended appointment, including whether an organization rather than its signing employee was named. Verify the Ohio address is the one the incoming agent confirmed, not the address of the person receiving returned documents.
- Finish the document handoff
Practical guidance. Ask the former agent about documents received before the change and give the new agent current forwarding instructions. Review cancellation and any other contact-address updates separately. A state appointment is one part of the transition, not proof that every pending legal document has reached the new recipient.
Avoid these Ohio filing mistakes
- Using a CMRA as the agent address
The current form expressly excludes commercial mail receiving agency addresses. Obtain a qualifying Ohio residence or usual business address consistent with the instructions. A street-looking mailbox address should not be assumed acceptable merely because it includes a suite number. Source 2.
- Confusing the acceptance heading with entity eligibility
Read the current instructions together with the heading: foreign LLC new-agent appointments are included. Do not automatically extend that conclusion to every foreign corporation or other entity, whose applicable instructions should be checked separately. Source 2.
- Obtaining only one of the two functions
For this domestic LLC replacement, complete both agent acceptance and LLC execution. The incoming agent's signature is not a substitute for a member, manager or authorized representative signing for the LLC, and the LLC signature alone does not supply the agent acknowledgment. Source 2.
Questions about changing your statutory agent in Ohio
Is statutory agent a different filing from registered agent?
Statutory agent is Ohio's term for the role addressed by Form 521. Use the Statutory Agent Update and select the correct appointment, address-change or resignation transaction instead of searching for a differently named universal form. Source 1.
Can an organizational agent accept through a representative?
The acceptance provides for signature on behalf of the agent. Identify the agent organization consistently and have the appropriate representative sign for it, rather than replacing the organization with the employee's personal name. Source 2.
Does a foreign LLC need the new-agent acceptance?
The current Form 521 instructions include a foreign LLC, as well as Ohio entities, when the new-agent option is selected. Do not rely on the domestic wording in the acceptance heading to omit it. Source 2.
Who can sign the update for an LLC?
The current instructions say a domestic or foreign LLC's form must be signed by a member, manager or authorized representative. This entity execution is separate from the incoming agent's acceptance. Source 2.
