Connecticut offers an online agent change and a domestic paper form. On the paper route, the appointed agent signs acceptance and an authorized company official separately signs the filing.

Choose the right Connecticut filing

Connecticut separates an appointed agent's acceptance from the company's authorization to make the change. For a domestic LLC, the current inspected BUS-09 form has individual-agent and business-agent alternatives and requires two different signing responsibilities. It also distinguishes residence, business and mailing addresses: a permitted mailing PO box does not eliminate a required Connecticut street address. The online service is confirmed by the state's current guidance, but its authenticated screens were not inspected; the detailed field guidance below follows the published domestic form.

Procedure scope
Registered agent changes for a Connecticut domestic LLC using the online change service or the domestic Change of Agent form.

Which route fits your registered agent change?

Change a domestic LLC's agent now

Use the online Change your business agent service or the domestic Change of Agent form. The domestic paper form covers entities formed in Connecticut except limited partnerships. Select the domestic LLC route based on the company's formation jurisdiction, not on the address of its owners or proposed agent. Source 2.

Update agent information with an annual report

Connecticut's current agent-update page says agent information can also be updated when filing the annual report. If using that route, complete its agent information and acceptance process rather than assuming payment of the annual report alone replaces an agent. The standalone online change remains a separate confirmed service. Source 1.

Change a registered foreign LLC's agent

Use the foreign route, not the domestic form. The inspected foreign PDF requests the home-jurisdiction name, Connecticut name if different, and state or country of formation. It is revised July 2017 and includes a Secretary of the State appointment alternative; check current foreign instructions before relying on that older form's delivery address. Source 3.

Prepare for the change in Connecticut

Get the exact entity and business-agent names

The domestic form requires the represented entity name to match state records exactly, including its business designation. A business agent's name must also match its Secretary of the State record exactly. Do not use a trade name or shortened provider brand when the form asks for the registered legal name. Source 2.

Check individual-agent residence and addresses

An individual must be a Connecticut resident, including when that person is a principal of the LLC. Prepare the Connecticut residence street address and the business street address, or identify that there is no business address using the provided box. The no-business-address option does not waive residence information. Source 2.

Check eligibility if using a business agent

The instructions list Connecticut corporations, LLCs, LLPs and statutory trusts, and qualifying foreign entities of those types with authority and a Connecticut address on file. The agent must give a Connecticut business street address. The represented entity may not appoint itself, even though an eligible separate LLC can act as a business agent. Source 2.

Prepare the LLC's agent mailing address

The domestic form requires a Connecticut mailing address for the appointed agent for LLCs and domestic stock corporations. A PO box is acceptable in this mailing field. Obtain it separately from the required street-address information so a mailing preference does not end up replacing the residence or business location. Source 2.

Arrange acceptance and company execution

The agent signs acceptance. For a business agent, prepare the name and title of the individual signing on its behalf. An authorized company official separately signs the execution with full legal name, capacity/title and date. Arrange both roles before submitting the paper form. Source 2.

Entity-type differences

The domestic form covers domestic entities except limited partnerships. Foreign LLCs use the foreign Change of Agent route and identify their home jurisdiction and Connecticut name. The inspected foreign paper form is revised July 2017 and offers the Secretary of the State as an alternative agent; confirm the current foreign route and delivery details rather than copying its older delivery address.

Complete the Connecticut change filing

  1. Confirm the exact LLC name in the Secretary of the State's records and select a qualified Connecticut resident individual or an eligible business agent on record with the office. The LLC cannot appoint itself.

  2. Open the online Change your business agent service, or complete the domestic Change of Agent form for an entity formed in Connecticut.

  3. For an individual, provide the residence street address and business street address, or use the no-business-address box when applicable. For a business agent, provide its exact registered name and Connecticut business street address.

  4. Provide the agent's required Connecticut mailing address for an LLC; a PO box may be used for that mailing address, not for a required street address.

  5. On paper, obtain the agent's acceptance signature and the authorized company official's execution signature, title and date. Submit to Business Services using the current form's delivery instructions and retain the confirmation.

Form fields and statement requirements

Filing party and item 1

Enter the filing party's name, address and requested contact details; the form says confirmation goes to that address. Item 1 is the represented entity's exact name with its designation. Keep the confirmation recipient separate from the appointed agent if a different person should receive the state result. Source 2.

Item 2A: individual appointment

Use the individual's full legal name, business address or no-business-address box, Connecticut residence street address and the required Connecticut mailing address for the LLC. Obtain the individual's signature accepting appointment. Do not complete 2B as well: the form directs completion of A or B, not both. Source 2.

Item 2B: business appointment

Enter the business agent's exact registered name and Connecticut business street address, plus the required Connecticut mailing address. Obtain acceptance signed on behalf of the agent, and print the accepting person's name and title. An employee's name belongs in the representative field, not as a replacement for the appointed business name. Source 2.

Item 3: company execution

The authorized company official supplies the date signed, printed or typed full legal name, capacity/title and signature. This execution is subject to penalties of false statement and is distinct from acceptance. A signed acceptance by the agent does not remove the company official's execution block. Source 2.

Submit the change to Connecticut Secretary of the State, Business Services Division

Use the confirmed online change service

The state's Update Business Agent page links to Change your business agent online. Use that official route and follow its current identity, acceptance and submission prompts. The paper fields explain what to prepare, but they are not a claim that the online service uses the same screens or identical signature mechanics. Source 1.

Send the completed domestic paper form

Print or type the form in ink and attach sheets if necessary, as instructed. Mail the executed form with required payment to Business Services Division, P.O. Box 150470, Hartford, Connecticut 06115-0470. The revised domestic instructions give a separate delivery address at 165 Capitol Avenue, Suite 1000, Hartford, Connecticut 06106. Source 2.

Before you submit

The current domestic form permits an individual to indicate no business address; it still requires a Connecticut residence address. Do not confuse that street-address requirement with the separately permitted mailing PO box.

Verify the change and finish the transition

Watch the filing party's confirmation channel

The domestic form expressly identifies the filing-party address as the destination for confirmation. Preserve that confirmation with the accepted document and both signature blocks. A private provider agreement is not the state's returned evidence of the agent change. Source 2.

Review the selected agent type and address categories

Practical guidance. Compare the resulting record with the chosen individual or business agent and its intended address information. An individual residence, agent business address and separate mailing address serve different purposes. Investigate an omitted or miscategorized address rather than checking only that the agent name looks familiar.

Keep agent changes separate from other maintenance

Practical guidance. Give the incoming agent current forwarding contacts and ask the outgoing agent about documents in hand. Keep the annual-report calendar and other agency-address review separate; using an agent-change service does not mean all other business maintenance has been completed.

Avoid these Connecticut filing mistakes

Treating a mailing PO box as a residence address

The domestic form permits a PO box for the required Connecticut mailing address but not for the individual residence or business street fields. Use the correct address category and the no-business-address box only when applicable. Source 2.

Completing both appointment alternatives

The form says to complete A or B, not both. Choose the individual or registered business actually being appointed, then put any human representative of a business agent in the business acceptance-signature fields. Source 2.

Copying an older foreign delivery address

The inspected foreign form is revised July 2017 and shows an older delivery address, while the inspected domestic form is revised January 2024. Use current foreign filing instructions for delivery rather than assuming every address on an official legacy PDF remains current. Source 3.

Questions about changing your registered agent in Connecticut

Can I update the agent when filing my Connecticut annual report?

Yes. The state's Update Business Agent guidance expressly says agent information can also be updated when filing the annual report. It separately links the standalone online agent-change service. Source 1.

Can a Connecticut LLC appoint itself?

No. The domestic instructions prohibit self-appointment by the entity. They do permit an eligible separate business agent, including a qualifying LLC, or an individual Connecticut resident such as a principal of the company. Source 2.

What if my individual agent has no business address?

The domestic form provides a no-business-address box. The individual still supplies a Connecticut residence street address and, for an LLC appointment, the required Connecticut agent mailing address. Source 2.

Does the company official's signature replace agent acceptance?

No. The domestic form requires the appointed agent's acceptance and the company's separate authorized-official execution. For a business agent, identify the individual accepting on its behalf and that person's title. Source 2.
