Choose the right Colorado filing

Colorado's online registered-agent change combines a public-record amendment with current agent-eligibility checks and two distinct affirmations: consent to appointment and notice of the change to the entity. The identity and address-verification rules effective July 1, 2025 are part of preparing the transaction, not an optional step to resolve later. The official help also contains a subtle mailing-address rule: leaving the mailing fields empty can replace the separate mailing address with the street address, even when you intended to keep the old mailing address.

Procedure scope
Registered agent changes for a Colorado domestic LLC through the Secretary of State's entity record and online Statement of Change.

Which route fits your registered agent change?

Appoint a different individual

Use the entity's Statement of Change Changing the Registered Agent Information and select the agent-name change. Before filing, arrange verification with the individual's exact Colorado license or identification information, or the mailed-passcode alternative. The individual must be at least 18 and have the required Colorado residence or usual place of business. Source 2.

Appoint an entity agent

The proposed agent entity must be registered with the Colorado Secretary of State, in good standing, and have a usual place of business in Colorado. Check the agent's own record separately from the LLC's record. A provider's registration in another state is not the Colorado eligibility check described by the office. Source 2.

Keep the agent but change its address

The change instructions have separate yes/no choices for agent name and address. When no name change is being made, select No and leave the name section above the address fields blank. Complete the intended address change without unnecessarily creating a different individual or entity-agent designation. Source 1.

Prepare for the change in Colorado

Resolve identification before promising a handoff date

For the ordinary individual verification, the filer enters the name and ID number exactly as shown on the current valid Colorado driver's license or identification card. If using the alternative, request an agent passcode with the agent's name and physical address, wait for mailed delivery, then return to enter it. Passcodes expire 45 days after request. Source 2.

Confirm an actual service location

The current requirements explain that a usual place of business is a Colorado physical street address customarily open during normal business hours where the agent can accept documents in person. They exclude commercial or PO-box addresses as the physical street address. Do not confuse a mail-receiving arrangement with the required service location. Source 2.

Arrange consent and notice independently

Get the incoming agent's consent and ensure the registered agent delivers notice of the change to the entity. The filing instructions require a separate checked affirmation for each. Do not have the filer attest that notice was delivered merely because someone agreed to serve. Source 1.

Prepare mailing details and delivery-person identity

Collect any separate Colorado agent mailing address that should remain on the record. Also prepare at least one individual causing delivery's first and last name and mailing address, including country and province where applicable. These are different information categories from the agent's service location. Source 1.

Decide whether delayed effectiveness is needed

The instructions permit immediate effectiveness or delay up to 90 days. If using a date without a time, the filing takes effect at 11:59 p.m. on that date under the published instructions. Consider the handoff carefully before selecting a delayed date that leaves the old record controlling longer than expected. Source 1.

Entity-type differences

The Statement of Change works from the existing entity record, including jurisdiction when applicable. Foreign LLCs and corporations must open their own record and follow its available filings rather than creating a new domestic LLC record.

Complete the Colorado change filing

  1. Check the new agent's eligibility: an individual must satisfy the current identification or alternate mailed-passcode process; an entity agent must be registered and in good standing and have a usual place of business in Colorado.

  2. Open the entity's Statement of Change Changing the Registered Agent Information. Confirm the prefilled entity ID, name and jurisdiction belong to the correct business.

  3. Select the applicable agent-name and address changes. Supply a physical Colorado street address, and re-enter any existing separate mailing address you want the record to retain.

  4. Affirm that the new agent consented and complete the required statement that the registered agent delivered notice of the change to the entity.

  5. Choose immediate effectiveness or a permitted delayed effective date, identify the individual causing delivery, and review the filing. Complete payment and save the filed confirmation.

Form fields and statement requirements

Prefilled entity identity

Confirm the entity ID, entity or true name, and jurisdiction when applicable. These fields are prefilled from the Secretary of State record and cannot be changed with this document. If the wrong business is displayed, return to the correct entity record instead of trying to repair it in an agent-change filing. Source 1.

Agent name and type

Supply either the individual's name or the entity-agent name, not both. Follow the name-change yes/no choice and current verification requirements. A company owner is not automatically the registered agent, and the field is not intended to list the company's directors or managers. Source 1.

Street and mailing addresses

Provide the Colorado street number, street name, suite or unit where applicable, city and ZIP code. The street location cannot be a PO box. If a separate mailing address is wanted, enter it even when unchanged; otherwise the Summary Page will show the mailing address as the same as the street address. Source 1.

Affirmations, effective date and additional information

Complete both consent and delivery-of-notice affirmations. Use additional information only when permitted or required; the help describes plain-text or PDF attachments. Enter a delayed effective date and optional time only if intended, and review the office's stated Mountain Standard Time convention before scheduling a transition. Source 1.

Individual causing delivery

Enter at least one responsible individual's name and full mailing address. If additional individuals cause delivery, the filing permits an attachment with their names and addresses. This statutory delivery-person identification is not replaced by naming an entity as agent or supplying the company's business address alone. Source 1.

Complete the online review and payment

Submit leads to attachment management or the review page; it does not itself file the document. Check any errors at the top if the next page does not appear. Review the full statement and finish payment, because the official help explicitly says the document is not filed until after payment. Source 1.

Return after the alternative passcode arrives

Choosing the alternative verification delays the filing process. The passcode is mailed to the agent; once received, return to the website and enter it before proceeding. A passcode request is preparation, not a filed registered-agent change, and the code's 45-day validity should not be mistaken for a processing promise. Source 2.

When the change takes effect

The instructions allow immediate effectiveness or a delayed effective date up to 90 days. A delayed date without a time takes effect at 11:59 p.m. on that date; the instructions specify Mountain Standard Time for filing dates and times.

Before you submit

The alternate identification process mails a passcode to the agent and must be completed before proceeding. The online instructions also warn that the document is not filed merely by selecting Submit: payment must be completed.

Verify the change and finish the transition

Separate filing from effectiveness

Retain the filed confirmation and check whether the statement was immediate or delayed. A delayed date without a time means 11:59 p.m. under the published instructions, so an accepted document may not yet have changed the effective agent record at the beginning of that day. Source 1.

Inspect the Summary Page mailing result

Review the new agent name, physical street address and separate mailing address. The instructions specifically warn that leaving the mailing fields empty makes the Summary Page reflect the street address instead. Correct an unintended mailing change rather than assuming an unchanged value was retained automatically. Source 1.

Keep the handoff evidence

Practical guidance. Store the agent's consent, notice-to-entity evidence, filed confirmation and agreed forwarding contact together. Reconcile outstanding documents with the outgoing agent before ending that arrangement. Treat other correspondence addresses and registrations outside Colorado as separate review items.

Avoid these Colorado filing mistakes

Waiting until submission to discover verification

An individual without the ordinary Colorado ID route needs a mailed passcode and must return to complete verification. Arrange this early and use the exact ID name when applicable, instead of promising an immediate replacement based only on a completed service agreement. Source 2.

Checking consent but overlooking notice

Notice to the entity is a separate required affirmation. The help says an unchecked notice statement prevents acceptance. Verify that the registered agent actually delivered notice before making the affirmation; consent alone does not answer it. Source 1.

Stopping at Submit or leaving mailing fields empty

Finish payment after review to file the document. Separately re-enter the mailing address if it should remain different from the street address. These are two concrete places where a seemingly finished transaction can produce no filing or an unintended address result. Source 1.

Questions about changing your registered agent in Colorado

What if the Colorado individual agent has no Colorado license or ID?

Use the department's alternative verification process. Request a passcode with the agent's name and physical street address, wait for the mailed code and return to enter it. The code expires 45 days after request. Source 2.

Can an out-of-state company serve as entity agent without Colorado registration?

The current requirements say an entity agent must be registered with the Colorado Secretary of State, be in good standing and have a usual place of business in Colorado. Check that agent record before filing. Source 2.

Will an unchanged separate mailing address remain automatically?

No. The help says it must be provided in the mailing fields even if unchanged. Otherwise the Summary Page is updated to show the registered-agent mailing address as the same as the street address. Source 1.

Can the Colorado change have a future effective date?

Yes, up to 90 days under the instructions. Time is optional, but a date entered without a time takes effect at 11:59 p.m. on that date. Review the stated time convention and retain the actual effective information. Source 1.
