Choose the right Hawaii filing
Hawaii's current X-7 asks about three legal identities: the represented company, its existing agent and its incoming agent. Entity agents also have their own formation jurisdiction, which is not necessarily the LLC's home jurisdiction. The represented entity signs the statement and affirms that the new agent consented; the form does not collect a separate agent acceptance signature. For an LLC, the correct company signer depends on whether the company is domestic and member-managed, domestic and manager-managed, or foreign.
- Procedure scope
- Registered agent changes by domestic Hawaii LLCs and foreign LLCs registered in Hawaii using Form X-7.
- Form or online transaction
- Statement of Change of Registered Agent by Entity (X-7)
Which route fits your registered agent change?
- Domestic Hawaii LLC appoints a replacement
Use X-7, Statement of Change of Registered Agent by Entity, select Limited Liability Company, and identify Hawaii as the represented company's formation jurisdiction. A manager-managed domestic LLC signs through at least one manager; a member-managed domestic LLC signs through at least one member. Source 1.
- Foreign LLC changes its Hawaii agent
X-7 also covers a foreign LLC. Enter its actual formation jurisdiction rather than Hawaii merely because the agent is located there. The signer is a person authorized or required to sign a record under the law of the LLC's jurisdiction of organization. Source 1.
- A corporation or partnership uses the shared form
The document supports multiple entity types, but execution changes: at least one corporate officer signs for a corporation and at least one general partner for a partnership. An LLP is instructed to mark General Partnership as well as LLP. Do not transfer the domestic LLC signer rule to every box on the form. Source 1.
Prepare for the change in Hawaii
- Identify the represented entity precisely
Prepare the company's complete name, legal entity type and state, province or country of incorporation, formation or organization. This is item 2's jurisdiction, not the existing or incoming agent's jurisdiction. Keeping these distinct is especially important when an out-of-state LLC uses an out-of-state-organized entity agent with a Hawaii service office. Source 1.
- Collect the existing agent's full details
Identify whether the current agent is an individual or entity. Prepare its name and complete Hawaii place-of-business street address. If an entity, also obtain its formation jurisdiction. The notice requests a before record, not merely enough details to describe the new arrangement. Source 1.
- Obtain incoming legal name and Hawaii service address
For an individual, prepare first and last name. For an entity, prepare its entity name and formation jurisdiction. In either case obtain the complete Hawaii place-of-business street address where process, notices and documents for the represented company can be delivered. Source 1.
- Confirm consent before company certification
Item 5 is prefilled and states that appointing the agent affirms that it consented to serve. Arrange that agreement before a company signer certifies the statement. A separate acceptance signature is not printed on X-7, but absence of such a block is not permission to name an unwilling agent. Source 1.
- Prepare the proper signer and any attachments
Identify the member, manager or foreign-LLC authorized person who will sign and their capacity. The form permits attachments, which must be legible black-ink or typed material on single-sided 8.5 by 11 inch white bond paper. Review what will become public before adding supplementary material. Source 1.
Consent and acceptance
Item 5 expressly states that appointing the agent in the statement affirms that the new agent consented to serve. The form is signed and certified by the represented entity; it does not include a separate acceptance signature for the new agent.
Entity-type differences
For a foreign LLC, the signer is a person authorized or required to sign under its home jurisdiction's law. Corporations sign through at least one corporate officer; partnerships through at least one general partner. An LLP must also select General Partnership as directed by the form.

Form fields and statement requirements
- Items 1 and 2: company type and home jurisdiction
Mark the represented legal type and state the complete company name and formation jurisdiction. Do not mark the agent's type here. A foreign LLC remains an LLC in item 1 and identifies its actual home jurisdiction in item 2, rather than selecting a different category for foreign status. Source 1.
- Item 3: current agent before the change
Select entity or individual. An entity agent needs its name and jurisdiction; an individual needs first and last name. Complete the current Hawaii address with street, optional second line, city and ZIP code. This block belongs to the agent being replaced, not the new provider. Source 1.
- Item 4: new agent after the change
Repeat the appropriate entity/individual identification for the incoming agent and supply the Hawaii place-of-business street address. The printed address uses USA and Hawaii, reinforcing that an agent entity's foreign formation jurisdiction does not turn the service-location field into an out-of-state address. Source 1.
- Item 5 and the signature page
Review the prefilled consent affirmation. The represented entity's signer then certifies authorization, review and truth of the statements, gives the signing date, printed name and office/title or capacity, and signs in black ink. Use the instructions for the entity's legal type rather than assuming every printed signature line requires a different LLC member. Source 1.
Submit the change to Hawaii Department of Commerce and Consumer Affairs, Business Registration Division
- Submit the current executed X-7
The inspected November 2025 revision instructs submitting the statement with required payment to the Business Registration Division. It provides a mailing address of P.O. Box 40, Honolulu, Hawaii 96810 and an office at 335 Merchant Street, Room 201. Use the current official packet for payment and delivery details rather than an older saved form. Source 1.
- Follow the black-ink and attachment instructions
Type or print legibly in black ink, including signatures, and prepare permitted attachments in the specified single-sided format. This guide confirms the published statement route; it does not infer that an editable PDF or the website address printed on the form constitutes an online completed submission. Source 1.
Before you submit
Use the current X-7 instructions and the correct entity-specific signer. The form states that business registration filings are open to public inspection.
Verify the change and finish the transition
- Retain the filing office's result
Practical guidance. Keep the returned filing evidence and the exact executed X-7 together. The inspected instructions do not promise a particular processing period or describe a specific confirmation screen. Treat postal or payment evidence as transaction tracking until you have the actual filing result.
- Check identities and address as a group
Practical guidance. Compare the represented company's name and formation jurisdiction, the incoming agent's legal identity and its Hawaii service street address. If an entity agent was appointed, verify that its formation jurisdiction was not inadvertently substituted for the company's. A correct city alone does not verify the appointment.
- Remember the public filing and private handoff differ
The instructions state that all business registration filings are open to public inspection. Keep unnecessary private onboarding instructions out of supplementary filings. Separately confirm the agent's forwarding contacts and pending-document handoff before deciding when to terminate the old arrangement. Source 1.
Avoid these Hawaii filing mistakes
- Mixing the company's jurisdiction with the agent's
Item 2 identifies the represented entity's formation jurisdiction. Items 3 and 4 separately request jurisdiction for an entity agent. Enter each legal identity's own jurisdiction rather than repeating Hawaii in every box because the service address must be in Hawaii. Source 1.
- Using the wrong LLC signer
A domestic manager-managed LLC needs at least one manager; a domestic member-managed LLC needs at least one member. The foreign LLC uses a person authorized or required under home-jurisdiction law. Choose the signer before execution rather than treating any service-provider employee as authorized. Source 1.
- Treating consent as someone else's later task
The company affirmatively represents consent in item 5. Obtain the agent's agreement before the company signs the certification. The absence of a separate agent acceptance block does not postpone the truth of that prefilled statement. Source 1.
Questions about changing your registered agent in Hawaii
Does Hawaii's incoming agent sign X-7 acceptance?
X-7 does not provide a separate agent acceptance signature. Item 5 says the represented entity's appointment affirms the new agent consented, and the represented entity executes and certifies the statement. Source 1.
Who signs for a foreign LLC?
A person authorized or required to sign a record under the law of the LLC's jurisdiction of organization. This differs from the domestic member-managed/member and manager-managed/manager instructions. Source 1.
Does an entity agent need a Hawaii formation jurisdiction?
The form separately requests the entity agent's actual state, province or country of formation and its complete place-of-business street address in Hawaii. Those are different facts; do not replace a foreign formation jurisdiction with Hawaii merely because the service location is there. Source 1.
Can I attach additional information?
The instructions permit attachments when necessary and specify legible black-ink or typed content on single-sided 8.5 by 11 inch white bond paper. Filings are open to public inspection, so include only appropriate filing information. Source 1.
