Hawaii registered agent requirements

The rule

Governing statute: HRS ch. 425R, the Registered Agents Act — appointment at § 425R-4 and change of agent at § 425R-7 — read with HRS § 428-107 for LLCs under the Uniform Limited Liability Company Act (ch. 428); corporations sit under HRS ch. 414

The filing must state the complete street address of the registered agent’s place of business in Hawaii, to which service of process and other notices and documents may be delivered. The Business Registration Division states plainly that the limited liability company cannot be its own registered agent.

Hawaii does not legislate office hours. What it requires is a real Hawaii place of business at which process and documents can be delivered to the agent — so the address has to be staffed enough to receive them.

You lose the delivery point Hawaii law assumes exists. Every registered entity must keep an agent on file, and letting the registration lapse puts your standing with the Business Registration Division at risk while lawsuits and state notices go undelivered.

Hawaii specific: Hawaii runs its annual report on quarters rather than a single statewide date: the report is due by the last day of the calendar quarter in which the entity was registered — March 31, June 30, September 30 or December 31 — and can be filed any time in that quarter. Hawaii also has a standalone Registered Agents Act (HRS ch. 425R) that splits commercial agents, listed with the state, from noncommercial agents.
