Choose the right Indiana filing

Indiana separates an entity replacing its registered agent from an agent maintaining its own listing. For a domestic LLC changing providers, the useful starting point is the existing company's Change of Registered Agent/Office transaction in INBiz, not a new formation. The key preparation question is whether the incoming agent is commercially listed: that determines which identifying information the law expects. Consent is an express filing representation, not something to arrange after submission.

Procedure scope
Entity-filed change for an Indiana domestic LLC under the Uniform Business Organizations Administrative Provisions Act.

Which route fits your registered agent change?

Replace the agent for this company

Use the entity-filed statement under IC 23-0.5-4-6 when the LLC is choosing a different agent. It states the entity name and information that will apply after filing. The official INBiz help article directs businesses to Change of Registered Agent/Office. Source 1.

Keep the agent but update its information

A noncommercial agent changing its own name, address or electronic mail address has an agent-signed procedure under section 7, with notice to the represented entity. A commercial agent maintains its listing under section 8. Those are not interchangeable with appointing a replacement. Source 2.

Avoid an unnecessary formation amendment

Section 6 supplies a statement-of-change route without a formal amendment of the company's organic document. It also permits an alternative amendment of the most recent agent filing under other applicable law. For an ordinary replacement, use the specific INBiz transaction rather than assuming every change requires amended articles. Source 2.

Prepare for the change in Indiana

Identify the existing Indiana entity

Practical guidance. Have the exact legal name and enough identifying information to distinguish similarly named businesses before selecting the INBiz record. If a portfolio contains both a domestic LLC and an Indiana registration of an out-of-state affiliate, prepare a separate record-level instruction for each intended change.

Determine the agent's legal category

Indiana permits an individual, general partnership, domestic filing entity or registered foreign entity as agent. Commercial listing is a separate status, not simply a description of a paid service. Ask the incoming agent how it is listed before preparing the filing. Source 2.

Assemble noncommercial contact information

For a noncommercial agent, section 3 requires the name, an Indiana street address and an electronic mail address for electronic service only as prescribed by the Indiana Supreme Court's trial rules. Do not replace the geographic address with an out-of-state billing address or mailing box. Source 2.

Obtain consent and a communications contact

Confirm consent before the LLC represents that it exists. Separately, section 3 requires the company to give the agent an updated contact's name, business address and business telephone number. That contact must be an officer, director, employee or designated agent authorized to receive communications. Source 2.

Entity-type differences

The Act also covers registered foreign LLCs and business and nonprofit corporations. Select the correct Indiana entity record. Agent-filed changes by commercial or noncommercial agents are separate filings from the entity's replacement of its agent.

Complete the Indiana change filing

  1. Confirm the entity's exact name and identify the replacement registered agent before opening the filing.

  2. Sign in to INBiz and select Online Services.

  3. Under the Secretary of State section, choose Change of Registered Agent/Office and select the business being changed.

  4. Enter the replacement agent information and complete the consent statement or representation that the agent has consented.

  5. Submit the change, retain the filed confirmation, and check the agent information on the public entity record.

Open the official filing instructions or transaction. Read the primary sources below alongside these steps.

Form fields and statement requirements

Entity name and replacement information

The statutory statement identifies the entity and states the information that is to take effect. Prepare the final intended agent details, not a narrative that merely says the former provider was cancelled. The filing needs the resulting appointment, not only the reason for changing. Source 2.

Commercial registered-agent identification

Section 3 allows the entity's filing to identify a commercial registered agent by name. The agent's address is maintained through its commercial listing. Use the legally listed agent identity rather than an employee's name or a service package's marketing name. Source 2.

Noncommercial address and email

Where the replacement is not commercially listed, prepare all three statutory elements: agent name, Indiana street address and agent electronic mail address. An email used for state-account access is not automatically the agent's service address; confirm which address the incoming agent authorizes. Source 2.

Consent statement

Section 6(c) requires either the registered agent's consent or a representation that the agent has consented. This is different from a universal incoming-agent signature requirement. Do not attach a supposed mandatory separate consent solely because another state's change form requires one. Source 2.

Entity execution and evidence boundary

Section 6 calls for a statement signed by the entity. These are statutory content requirements, not a transcription of authenticated INBiz screens. The linked State Form 56367 could not be retrieved in this review; confirm any paper-specific execution and delivery instructions before using it. Source 2.

Confirmed INBiz route

Sign in to INBiz, open Online Services, and under the Secretary of State section choose Change of Registered Agent/Office. Those navigation labels come from Indiana's published help article. Follow the current transaction's prompts; this guide does not invent additional screen controls or an approval timetable. Source 1.

Do not treat the paper link as inspected instructions

The state-form link remains a reference, but access was blocked during this review. The reachable official instructions establish the INBiz route and the HUB document establishes statement content. If paper filing is necessary, retrieve the current form and its delivery requirements before preparing a mailing. Source 3.

Before you submit

Do not confuse replacing an agent with an agent changing its own information. Review the accepted record rather than treating submission as confirmation of filing.

Verify the change and finish the transition

Match the accepted result to the instruction

Practical guidance. Save the filed statement or acceptance evidence and compare the resulting public record with the intended replacement. Check the agent identity as well as the address; a correct street address alone does not demonstrate that the old agent's name has been replaced.

Finish the separate contact handoff

Make sure the incoming agent has the company's required communications contact and that changes are supplied when needed. Indiana's statute treats providing this contact as a separate company obligation, so completion of the state transaction does not remove the need to give the agent usable internal contact information. Source 2.

Reconcile the outgoing relationship

Practical guidance. Before ending operational access to the outgoing provider, preserve pending notices, contact history and the accepted change evidence. Reconcile any principal-office, tax, licensing and other-state records independently. Treat this as a transition checklist, not as a claim that the INBiz agent filing updates those unrelated records.

Avoid these Indiana filing mistakes

Calling every paid agent commercial

A commercially listed agent is a defined Indiana category. Selecting that category merely because a provider charges for service can leave the filing based on the wrong identifying information. Confirm the actual listing and use the noncommercial name, street address and email requirements when appropriate. Source 2.

Using an agent-maintenance filing for a replacement

Sections 7 and 8 concern the existing agent changing its own information. They do not express the LLC's decision to appoint somebody else. Start with the entity's section 6 transaction when the identity of its appointed agent is changing. Source 2.

Making consent prospective

A promise to obtain consent later is not the same as stating that the agent has consented. Resolve the appointment before signing the statement's representation. Keep the underlying agreement with the entity's records so a future administrator can distinguish an agreed appointment from an unauthorized listing. Source 2.

Questions about changing your registered agent in Indiana

Does an Indiana LLC need a member vote just to change its registered agent?

IC 23-0.5-4-6(b) says the interest holders or governing persons of a domestic entity need not approve this statement or a similar agent or office change in another jurisdiction. That procedural rule does not turn the filing into a change of ownership or management. Source 2.

Must the new Indiana agent always sign an attached consent?

The cited section permits either a statement of the agent's consent or a representation that the agent has consented. It does not invariably require an incoming-agent-signed attachment. Follow the current transaction's execution instructions and obtain the actual consent before making the representation. Source 2.

Why does Indiana ask for a contact outside the agent filing?

The company must provide its agent a communications contact authorized to receive the agent's communications, including a name, business address and business telephone number. The statute requires the agent to retain it and allows resignation if the entity fails to provide it. Source 2.

Can I rely on this guide for exact paper-form boxes?

No. The official INBiz help and the HUB statement requirements were inspected, but the State Form 56367 download was access-blocked. The guide therefore explains verified statutory elements and published online navigation rather than claiming a current paper-form field-by-field inspection. Source 3.
