The rule

Governing statute: Ind. Code § 23-0.5-4 (registered agents, Indiana Uniform Business Organizations Code) and Ind. Code § 23-0.5-2-13 (business entity report)

The registered agent address must be an Indiana address and PO boxes are not acceptable. The agent may be an individual or a business authorized to receive service of process, notice or demand on the entity’s behalf — but a business cannot serve as its own registered agent, so an out-of-state owner without an Indiana contact has to appoint someone else.

The registered agent receives service of process and the state’s notices, and Indiana emails report reminders and past-due notices to the registered agent’s address as well as the business email, so that inbox and that street address both have to be live.

If you have no agent

The registered agent and address are part of the business entity report; let the record lapse and the Secretary of State’s reminders, past-due notice and pending-dissolution notice all go to an address you no longer read, ending in administrative dissolution for domestic entities or revocation for foreign ones.

Indiana specific: Indiana has no annual report at all. Every registered entity — corporations, LLCs, nonprofits, LPs and LLPs alike — files a Business Entity Report every other year, by the end of the month it was formed or registered, with the first one due two years after registering. Indiana is also one of the states that forbids a business from acting as its own registered agent, and reinstatement after administrative dissolution requires a Department of Revenue tax clearance first.
