Choose the right Kansas filing
Kansas calls the appointee a resident agent and calls this entity-filed transaction a Certificate of Amendment, Form ROA. That title should not lead an LLC to prepare a broad organizational amendment when its intended change is simply the agent or registered office. The January 2026 instructions identify the business's state ID, legal agent identity, Kansas office and authorized signature, and they distinguish the evidence returned for online and mailed submissions.
- Procedure scope
- Business-filed change of resident agent or registered office for a Kansas domestic LLC using Form ROA.
- Form or online transaction

Which route fits your resident agent change?
- Change the resident agent, registered office or both
ROA is the Certificate of Amendment for these changes. Prepare the information that should appear after filing even when only one component changes. The registered-office entry belongs to the resident agent's Kansas location, not automatically to the company's headquarters or an owner's mailing address. Source 1.
- Separate a business change from agent maintenance
The Secretary of State's change-a-business page is the starting point for business amendments. An agent changing its own name or office uses a different agent-maintenance filing, rather than having the business incorrectly describe that move as a replacement appointment. Confirm whose information and authority are changing first. Source 2.
- Stay on the existing entity record
For an existing Kansas business, ROA asks for the Secretary of State-issued business ID and the name already on record. Use that existing registration rather than preparing a new formation merely because a new service provider is taking over. Check the entity identity before choosing a filing channel. Source 1.
Prepare for the change in Kansas
- Locate the Kansas business ID
The instructions explicitly distinguish the Secretary of State ID from a tax ID. Retrieve the state-issued identifier from the Kansas entity search and pair it with the exact legal name. An EIN may identify the company internally but does not answer item 1. Source 1.
- Verify a business agent's exact name
Kansas allows an individual, a business registered in Kansas, or the business itself to be the resident agent under the form's instructions. When appointing a registered business, search its legal name and match the state record identically instead of using a brand, abbreviation or invoice label. Source 1.
- Obtain a usable Kansas location
The registered office must be an address in Kansas where the resident agent may regularly be present. Prepare the building number, street, city, state and ZIP code. The form also contemplates rural-route or highway locations, but a PO box is not an acceptable registered office. Source 1.
- Settle signature and return arrangements
An authorized person signs on behalf of the business. For a mailed filing, ensure the sender's return address is usable because the instructions say the certified copy is mailed to the sender when processing is completed. Arrange the incoming agent's agreement before making the appointment. Source 1.
Consent and acceptance
Arrange the replacement agent's agreement before filing. Form ROA calls for the business's authorized-person signature and does not contain an incoming-agent consent signature line; this checklist does not assert that a separate consent attachment is required.
Entity-type differences
ROA is the business-filed change route and its instructions include LLCs and corporations. Use the existing Kansas registration for a foreign entity rather than filing new domestic formation documents. Form RGO concerns an agent changing its own name or office, not the business appointing a replacement.
Complete the Kansas change filing
Find the Kansas business ID and exact legal entity name; do not substitute a tax identification number.
Confirm the replacement resident agent's legal name. If the agent is a business, match its name to the Kansas registration record.
Supply the Kansas registered-office address where the agent may regularly be present, including the building number, street, city and ZIP code; do not use a PO box.
Have an authorized person complete the online Certificate of Amendment or sign the paper ROA and mail it as instructed.
Retain the certified filed copy. If filing online, do not also mail the paper form.

Form fields and statement requirements
- Item 1: business ID/file number
Enter the Kansas Secretary of State-issued number. If your internal worksheet contains identifiers for several states, label this number clearly before transcribing it. The form does not request a federal tax identifier in this position. Source 1.
- Item 2: name of business
Use the complete legal name, including formation words such as LLC or Corp., exactly as on the Secretary of State record. This is identification of the company being amended, not a business-name-change field and not the incoming agent's name. Source 1.
- Item 3: name of resident agent
The form says not to leave this blank. Enter the legal identity that will receive the company's legal documents. When the appointee is another Kansas-registered business, its name must match its registration identically; an employee signing for that business is not necessarily the appointee. Source 1.
- Item 4: registered office in Kansas
Provide the actual Kansas location for the resident agent, including the street or permitted route description and city and ZIP. Do not use a PO box in place of that location. Check the agent's regular presence there rather than assuming any Kansas mailing address is suitable. Source 1.
- Item 5: declaration and signature
The authorized person signs a declaration under penalty of perjury that the information is true and correct. ROA has no separate incoming-agent consent signature line. Do not invent an attachment requirement from another jurisdiction, but resolve the appointment with the new agent before execution. Source 1.
Submit the change to Kansas Secretary of State, Business Services Division
- Online certificate
The instructions direct online filers to the official change-a-business page to create and file the Certificate of Amendment. They expressly say not to complete and mail the paper form after filing online. A certified copy can be printed through the online route; save that evidence with the entity record. Source 1.
- Mail the executed paper form
For paper filing, complete, print and sign ROA, then mail it with the required state payment to the Secretary of State at the address in the current instructions. The instructions page itself says to submit the documents without that page. A certified copy is mailed to the sender after processing. Source 1.
Before you submit
Kansas uses resident agent. A registered-office address must be a Kansas location where the agent may regularly be present, not simply a mailing address.
Verify the change and finish the transition
- Retain the certified filed copy
Kansas describes a printable certified copy for online filing and a mailed certified copy for the paper route. Preserve the returned evidence rather than relying solely on a payment record or a saved unsigned draft. The copy should identify the same business ID and intended appointment. Source 1.
- Recheck agent identity and location together
Practical guidance. Compare the accepted filing with the current Kansas record and the agent's onboarding details. If the appointee is an entity, confirm that its legal name survived transcription intact. Check building and unit information so the legal appointment and practical delivery destination point to the same provider.
- Close only the intended transition
Practical guidance. Keep pending correspondence available from the former agent and document who will receive it during the handoff. Review tax, licensing, principal-office and other-state changes separately. Ending an agent contract and filing ROA are different tasks; coordinate them using the accepted filing, not only the submission date.
Avoid these Kansas filing mistakes
- Supplying the EIN as the file number
Item 1 is specifically the Kansas business ID, not a tax ID. Return to the state search and retrieve the correct identifier before signing. This is especially important when a portfolio spreadsheet labels several unrelated identifiers simply as company number. Source 1.
- Using a PO box or unstaffed mailing location
ROA requires a Kansas location where the agent may regularly be present and rejects a PO box as the registered office. Ask the provider for its authorized registered-office address instead of copying the remittance address from an invoice. Source 1.
- Creating a second filing after online submission
The instructions explicitly say that a filer who files online should not also complete and mail the paper form. Keep the online certified copy and resolve any issue within that transaction rather than treating a duplicate mailing as a normal confirmation step. Source 1.
Questions about changing your resident agent in Kansas
Can the Kansas business itself serve as resident agent?
The current ROA instructions and item 3 expressly allow the business named in item 2 to be its own resident agent. It still needs the required Kansas registered-office location where the agent may regularly be present. Do not import another state's self-agent prohibition into this form. Source 1.
Does Kansas ROA require the replacement agent's signature?
The inspected form calls for an authorized person's signature on behalf of the business and does not include a separate incoming-agent signature line. Arrange the agent's agreement before filing, but this guide does not describe an unsupported mandatory consent attachment. Source 1.
Why is the filing called a Certificate of Amendment?
That is the official ROA title for changing a resident agent and/or registered office. Its fields are specific to that transaction. The title does not mean that an LLC must put unrelated ownership, management or business-name amendments into this agent-change document. Source 1.
What proof should I expect from a mailed Kansas filing?
The January 2026 instructions say that a certified copy is mailed to the sender's address once processing is completed. Make that return address usable, keep the signed submission packet, and retain the certified copy when received. This guide does not promise a mailing or processing deadline. Source 1.
