What does Kansas call a company that missed its filings?

“forfeited”: the LLC’s articles of organization are “forfeited” (or “canceled” in some agent-related provisions). The Secretary of State describes a certificate of reinstatement as changing a business’s status “from forfeited to active and in good standing”.

What triggers it in Kansas?

(1) Not filing the business entity information report or paying its fee within 90 days after the April 15 due date. The report is now due every two years (even or odd years, matching the formation year). (2) Not keeping a Kansas resident agent and registered office: if the resident agent dies or moves and no new agent is named within 30 days, the Secretary of State may declare the articles forfeited after 30 days’ notice; if the agent resigns and no successor is named within 60 days after the resignation is filed, the Secretary of State declares the organizing documents forfeited.

Before it happens

For a missed report, the Secretary of State mails a notice within 60 days after the due date warning that the articles will be forfeited unless the report is filed and the fee paid within 90 days of the due date. Forfeiture follows automatically if they are not. For a missing resident agent after death or a move, the Secretary of State gives 30 days’ notice before declaring forfeiture.

How do you reinstate a Kansas LLC?

Certificate of Reinstatement — Limited Liability Company, Limited Liability Partnership, or Limited Partnership (SOS Form RL). It must be submitted together with an Information Report (Form ILC) for each missed reporting year and all fees; documents cannot be submitted separately. The SOS reinstatement page offers these as paper forms.

Missed filings and fees

Yes. The LLC must pay the business entity information report fees for all past-due reports for the immediately preceding 10 years (the SOS says at most the last 10 years, i.e. 5 reporting years) and all fees and any penalties due, and must file the missing information reports with the certificate of reinstatement.

Is there a deadline to reinstate a Kansas LLC?

No deadline in the statute. K.S.A. 17-76,146 sets no time limit for reinstatement, but back report fees are capped at the immediately preceding 10 years.

Do you need tax clearance in Kansas?

No

No tax clearance is required. K.S.A. 17-76,146 and SOS Form RL require only the certificate, the past-due reports and payment of Secretary of State fees and penalties. Neither mentions a Department of Revenue clearance.

What happens to the company name meanwhile?

No reservation during forfeiture. If the name is not available at reinstatement, the certificate must state the name under which the LLC will be reinstated. For a domestic LLC whose name is in use, the SOS offers two options: file a Written Consent to Use of Similar Business Name (Form CN, K.S.A. 17-7918) from the current holder, or reinstate under a new name.

What changes once it is fixed?

On filing, the LLC (and each series not wound up) is reinstated with the same force and effect as if its articles had not been forfeited. Contracts and acts done during the forfeiture period are validated, property vests back in the LLC, and the LLC is exclusively liable for acts done in its name during forfeiture as if the articles had remained in full force. The certificate of reinstatement also serves as an amendment to the articles of organization.

What changes for corporations in Kansas?

Corporations use a different term and form. A forfeited or void corporation is revived, not reinstated: it files a Certificate of Revival (SOS Form RR) under K.S.A. 17-7002, authorized by its board, ‘at any time’. The revival does not apply to articles revoked or forfeited by court action under K.S.A. 17-6812. As with LLCs, a corporation must file past-due business entity information reports for the preceding 10 years (nonprofits only the most recent period) and pay fees and penalties, and must revive under a different name if its name has been taken. Corporations also file a biennial business entity information report (K.S.A. 17-7503), with forfeiture under 17-7510 on the same 90-day timetable.

There is no separate tax clearance step for a Kansas LLC, so the filing comes first, with the missed filings and fees described above.
