How to change your resident agent in Massachusetts
An LLC files its resident-agent change statement, with the incoming agent's written consent on the statement or attached. Corporations use registered-agent terminology and a different corporate filing.

Massachusetts- Jurisdiction terminology
- resident agent

- Massachusetts Secretary of the Commonwealth, Corporations Division
Choose the right Massachusetts filing
Massachusetts uses resident agent for domestic and foreign LLCs, but registered agent for business corporations. The LLC replacement statement therefore matters as much for choosing the right legal category as for entering a new address. Its published form separates current office, new office, current agent, change-or-remain choice, company execution and agent consent, and it explains where filed and rejected documents can be found. Use those distinctions rather than a generic corporate agent-change template.
- Procedure scope
- Resident-agent or resident-office change for a Massachusetts domestic LLC under chapter 156C, section 5A; the published LLC form also cites the foreign LLC provision in section 51.
- Form or online transaction
- Limited Liability Company Statement of Change of Resident Agent/Resident Office
Which route fits your resident agent change?
- Domestic or foreign LLC replacement
The published LLC statement cites chapter 156C sections 5A and 51, and the foreign LLC instructions expressly list this same statement. Use the existing Massachusetts LLC record and the LLC resident-agent form when choosing a different appointee; do not file a new foreign registration for a provider change. Source 1.
- Keep the agent but change the resident office
The entity-filed statement includes an option for the resident agent to remain the same. The official foreign LLC instructions also list a separate Statement of Change of Resident Office Address by Resident Agent. Identify whether the LLC or the continuing agent is making the filing before selecting a document. Source 3.
- Keep foreign-registration amendments separate
The foreign LLC instructions direct changes to managers, authorized signatories and other registration information through an amended registration certificate, while excepting agent and office changes for their separate procedure. Do not use a general foreign amendment as an assumed substitute for the dedicated resident-agent statement. Source 3.
Prepare for the change in Massachusetts
- Check legal form before terminology
Confirm whether the Massachusetts record is an LLC or a corporation before downloading a statement. The inspected document is explicitly a Limited Liability Company Statement of Change of Resident Agent/Resident Office. A corporation's registered-agent change is outside that form's scope even when the provider is the same. Source 1.
- Collect current and new office information
The form separately requests the current resident-agent office address and the new resident-agent office address. Retrieve the before-change address from the entity's filing history and obtain the precise replacement office from the incoming provider. Do not substitute the LLC's principal-office address merely because it is more familiar. Source 1.
- Arrange the LLC and agent execution
The statement has an authorized-person signature and date for the LLC plus a consent-of-resident-agent section. Arrange both responsibilities before submission. If relying on attached written consent under section 5A, keep it with the statement rather than circulating an execution page disconnected from the appointment it accepts. Source 2.
- Prepare a monitored filing contact
The second page asks the LLC to supply contact information, telephone and email. Use contact details that remain available after the provider change. These entries support handling the filing; they should not be confused with the appointed resident agent's legal identity or office address. Source 1.
Consent and acceptance
Chapter 156C, section 5A requires the new resident agent's written consent on or attached to the statement. The official LLC change form includes a consent section.
Entity-type differences
The domestic and foreign LLC instructions both list an LLC resident-agent change statement. Massachusetts business corporations instead maintain a registered agent and registered office under chapter 156D and use the corporate statement of change. Do not label a corporation's appointee resident agent merely because the LLC form uses that term.
Complete the Massachusetts change filing
Select the LLC Statement of Change of Resident Agent/Resident Office, not the agent-filed office-address form or a corporate registered-agent form.
Enter the LLC's exact name and the current and new resident-agent and office information, identifying whether the agent is changing or remaining the same.
Have the incoming resident agent sign the consent section or attach written consent to the appointment.
Have an authorized person sign for the LLC and submit through the Corporations Division's electronic option or the paper submission instructions.
Retain the filed statement and check the resident agent and street address on the entity record.
Open the official filing instructions or transaction. Read the primary sources below alongside these steps.
Form fields and statement requirements
- Item 1: exact LLC name
Enter the exact name of the limited liability company. For an out-of-state LLC registered in Massachusetts, identify the existing Massachusetts registration being changed rather than substituting an affiliate or a different portfolio entity's name. The statement is an appointment change for that identified LLC. Source 1.
- Items 2 and 3: resident-agent offices
Complete the current and new resident-agent office addresses in their respective positions. Review them side by side with the agent instruction. The form distinguishes the before-and-after addresses; it is not asking you to replace every address in the LLC's registration with the provider's location. Source 1.
- Current agent and change-or-remain choice
Enter the current resident agent, then select whether the agent changes to the named replacement or remains the same. A provider replacement should identify the new appointee rather than simply entering a different office while leaving the remain-the-same choice unexplained. Source 1.
- Authorized execution and agent consent
The LLC's authorized person signs and dates the statement. The consent section identifies the resident agent and states consent under chapter 156C sections 5A and 51. Do not treat the authorized person's company signature as a reason to leave the replacement agent's written acceptance unresolved. Source 1.
- Division certification and LLC contact block
The second page contains the Division's approval certification and a separate contact block marked for completion by the LLC. Supply the contact information, telephone and email, but do not fill the Division's approval date or time as if the filing had already been accepted. Source 1.
Submit the change to Massachusetts Secretary of the Commonwealth, Corporations Division
- Electronic filing through the official subject page
The foreign LLC instructions provide a File Online option for the Statement of Change of Resident Agent/Office. Use the applicable entity's existing record and follow the current electronic execution process. The public instructions verify the option; they do not establish every authenticated screen or an approval timetable. Source 3.
- Published paper or fax alternative
The official statement expressly contemplates paper or fax filing and identifies the Corporations Division at One Ashburton Place. Confirm current transmission and delivery instructions before sending the completed statement and any written consent attachment. Do not derive a fax number or account procedure from an unrelated corporate form. Source 1.
When the change takes effect
The published LLC statement says the certificate is effective at the time and on the date approved by the Corporations Division.
Before you submit
An agent changing only its own resident-office address has a separate filing. Choose the entity-filed replacement statement when appointing a different agent.
Verify the change and finish the transition
- Use the Division's approval milestone
The statement says it is effective at the time and on the date approved by the Division. Its second page includes the state's approval and filing certification. Keep that evidence instead of treating an unsigned copy, payment step or transmission receipt as proof of the effective appointment. Source 1.
- Check filed copies and the rejected queue
The form says a copy becomes available on the Corporations website upon filing. If rejected, the rejection sheet and rejected document are available in the rejected queue. Read a rejection explanation and resolve the identified issue rather than assuming that silence means the change was approved. Source 1.
- Confirm the handoff matches the public appointment
Practical guidance. Compare the approved resident-agent name and office address with the incoming provider's instructions. Preserve outstanding notices with the former provider before ending access. Separately reconcile managers, principal-office and other registration data; the foreign LLC instructions treat many of those changes through different documents.
Avoid these Massachusetts filing mistakes
- Using a corporate registered-agent form for an LLC
The inspected statement is specifically an LLC resident-agent document citing chapter 156C. Match the entity type before execution. Do not rename a corporation's appointee resident agent or assume that the corporate statement's signatures and statutory citations apply to an LLC. Source 1.
- Choosing the agent-filed move for a replacement
The official instructions list the resident agent's own office-address statement separately from the entity's change-of-agent statement. Use the replacement statement when the agent's identity changes. A continuing agent's office move and an LLC selecting a new provider are not the same instruction. Source 3.
- Treating rejection as a completed change
The form distinguishes filed copies from rejected documents in a separate queue. Retrieve the result and address the rejection rather than cancelling the outgoing arrangement based only on submission. Keep the final approval evidence with the completed consent and statement. Source 1.
Questions about changing your resident agent in Massachusetts
Does a foreign Massachusetts LLC use resident-agent terminology too?
Yes. The official foreign LLC instructions list a Statement of Change of Resident Agent/Office, and the published LLC form cites both section 5A and the foreign LLC provision in section 51. Business corporations use a different registered-agent framework; their terminology should not replace the LLC form's wording. Source 3.
Can the Massachusetts LLC keep its agent and change only the office?
The entity's statement includes a remain-the-same agent choice alongside the new-office address. The official instructions also list an office-address change filed by the resident agent. Select the route according to who is filing and whether the appointment itself is changing. Source 3.
Does this statement amend a foreign LLC's managers?
No. The foreign LLC instructions describe an amended registration certificate for manager and authorized-signatory changes and separately direct resident-agent and office changes to their own procedure. Prepare those transactions independently if the company is making both changes during the same transition. Source 3.
How can I tell whether Massachusetts accepted the statement?
The published statement says it takes effect on Division approval, makes a filed copy available on the Corporations website, and directs rejected documents and rejection sheets to the rejected queue. Review the actual filing outcome and preserve the approved document, not merely evidence that it was transmitted. Source 1.
