Massachusetts Resident Agent Service
Yes. Every Massachusetts LLC must have and maintain a resident agent for service of process in the Commonwealth — an individual resident of Massachusetts, a domestic corporation, or a foreign corporation authorized to do business here — and the agent’s written consent must be on or attached to the Certificate of Organization. Massachusetts corporations keep the same protection under a different name: a registered agent and registered office.

Massachusetts resident agent requirements
Massachusetts splits by entity type: LLCs name a resident agent (c. 156C § 5), corporations a registered agent (c. 156D § 5.01). Why Massachusetts says resident agent
The rule
Governing statute: M.G.L. c. 156C, § 5 (resident agent), § 5A (change of agent) and § 12 (certificate of organization); 950 CMR 112.00; corporations under M.G.L. c. 156D maintain a registered office and registered agent
The certificate of organization must give the name and street address of the resident agent for service of process in the Commonwealth, and the agent’s written consent to the appointment must be on the certificate or attached to it. The agent must be an individual resident of Massachusetts, a domestic corporation, or a foreign corporation authorized to do business here — a PO box will not carry service.
The resident agent’s street address is the Commonwealth’s delivery point for lawsuits and Corporations Division notices, so it must be an address staffed during normal business hours.
If you have no agent
Without a working agent you never see the suit or the annual report reminder; an LLC that stops filing annual reports is administratively dissolved by the Division, and reinstatement requires filing every report that was owed.
Operating beyond Massachusetts? Compare agent requirements state by state — the term, the address rule and the recurring filing all change at the state line.

We handle the whole swapCan you be your own resident agent in Massachusetts?
Yes, if you are an individual resident of Massachusetts with a street address in the Commonwealth where you can accept service during business hours. Your street address becomes public on the certificate of organization and stays on every annual report, and because the LLC deadline is your own formation anniversary rather than a statewide date, a missed reminder at that address is easy to miss twice — two quiet years is how LLCs end up administratively dissolved here. Should you be your own resident agent?
Three honest questions about Massachusetts. If you don’t need us, we’ll say so.
- Address privacyNow
- Reaching you with legal papers

Is it fine if your home or office address goes on the public record?
As your own resident agent, the street address you list is the one that appears on Massachusetts's public record.
Should you even hire a resident agent?
If you live in Massachusetts, keep regular hours at a fixed address, and run one entity, you may not need us, and we will tell you so. A service earns its keep when you value privacy, travel, run more than one entity, or operate across state lines.

Massachusetts resident agent FAQ
Do I need a resident agent in Massachusetts?
Yes. Under M.G.L. c. 156C, § 5 every Massachusetts LLC must have and maintain a resident agent for service of process in the Commonwealth — an individual resident of Massachusetts, a domestic corporation, or a foreign corporation authorized to do business here. The agent’s name, street address and written consent go on the certificate of organization. Corporations keep a registered agent under c. 156D instead.
Can I be my own resident agent in Massachusetts?
Yes, if you are an individual resident of Massachusetts and can accept service at a street address in the Commonwealth during business hours. The catch is that the address is published on your certificate of organization and repeated on every annual report, and your filing deadline is your own formation anniversary rather than a date the whole state shares.
What happens if my Massachusetts LLC has no resident agent?
You lose your notice channel. Lawsuits and Corporations Division mail have nowhere reliable to land, and an LLC that stops filing its anniversary-date annual report is administratively dissolved by the Division. Getting back requires an application for reinstatement plus every annual report that was owed while the company was dark.
How do I change my resident agent in Massachusetts?
File a Statement of Change of Resident Agent/Resident Office with the Corporations Division, with the new agent’s written consent to the appointment. Electronic filing is available. You cannot make the change on the annual report — under 950 CMR 112.00 agent changes go through the change filing — and any state fee is confirmed with you first.
How much does a Massachusetts resident agent cost?
Pricing is custom to your portfolio of entities and states, and most quotes are same-day. Call 212-202-5750 or start a filing and we’ll price exactly what you need. State filing fees are set by the state and confirmed with you before anything is filed.
