How to change your resident agent in Rhode Island
A Rhode Island LLC changes its resident agent with Form 642. The filing identifies the existing resident agent and office, the replacement agent and Rhode Island street address, and the LLC's authorized signer.

Choose the right Rhode Island filing
Rhode Island calls the LLC's appointment a resident agent, even though the Department's general maintenance page uses registered-agent language. The useful starting point is the LLC's existing Rhode Island record: Form 642 asks for the old office and old agent as well as the replacement. It is not an application to create a new LLC, change its legal name, or update every business address. This guide follows the March 2026 domestic-or-foreign LLC form and flags a real conflict in its delayed-effective-date instructions instead of choosing a convenient answer.
- Procedure scope
- Domestic and foreign limited liability companies registered in Rhode Island, including L3Cs.
- Form or online transaction
- Form 642 — Statement of Change of Resident Agent (domestic or foreign LLC)
Which route fits your resident agent change?
- A different resident agent for an LLC or L3C
Use Form 642 when the company is replacing the person or entity serving as resident agent. The Department lists this route for LLCs and low-profit LLCs, and the actual statement expressly covers domestic and foreign LLCs. A foreign LLC uses its Rhode Island registration identity, not merely the name and agent from its home-state formation. Source 1.
- The same agent, but a different resident office
The Department separately lists Form 642A for an LLC's registered-office change. Decide whether the agent itself is changing before selecting the document. Moving the company's operating headquarters does not by itself answer that question; compare the proposed information with the resident-agent and resident-office fields actually on file. Source 1.
- A corporation, partnership or legal-name change
Business and the listed professional corporations use Form 640 for an agent replacement; limited partnerships use Form 643, and LLPs submit a partnership letter. Form 642's instructions also say an LLC name change requires an amendment, identifying Forms 401 or 451. Do not put a proposed new legal name in the company-identification box and expect the agent statement to accomplish that amendment. Source 2.
Prepare for the change in Rhode Island
- Take a current-record snapshot
Retrieve the entity ID, exact LLC name, current resident office and current resident agent from the Corporate Database. Keep the snapshot with the draft so the signer can distinguish information being identified from information being replaced. The form deliberately asks for both; an old formation document may no longer show the current agent. Source 2.
- Confirm an eligible agent and a usable office
The incoming agent must be a Rhode Island resident or an entity qualified to do business in Rhode Island. Confirm availability at the Rhode Island street address during normal business hours. The Department expressly excludes PO boxes and shipping or postal-company addresses, so purchasing a mailing address alone is not a substitute for arranging service of process. Source 1.
- Prepare the authorized signer and filer details
Form 642 requires an authorized person of the LLC to sign and date. Assemble that person's printed name and the separate filer-contact information, whose fields are marked required. The published LLC statement does not provide an incoming-agent signature block; arranging acceptance and obtaining the LLC's authorized signature are different tasks. Source 2.
- Resolve delayed timing before signing
If the transition needs a later effective date, ask the Division which limit governs this version. The instruction page says within 90 days of filing, while item 7 says no more than 30 days. Keep the response with the filing plan. Do not represent the longer period as settled law merely because it appears first in the packet. Source 2.
Consent and acceptance
Confirm that the incoming resident agent agrees to accept service before naming it. Form 642 is signed by an authorized person of the LLC; its published signature block does not ask the incoming agent to sign a separate acceptance.
Entity-type differences
Form 642 expressly covers domestic and foreign LLCs. Business, professional service and professional service benefit corporations use Form 640 and the term registered agent. Limited partnerships use Form 643; LLPs submit a partnership letter. An office-address-only LLC change uses Form 642A rather than the replacement-agent form.
Complete the Rhode Island change filing
Look up the LLC in the Department's Corporate Database and copy its entity ID, exact name, current resident office and current resident agent.
Choose a Rhode Island resident or an entity qualified to do business in Rhode Island; confirm a Rhode Island street address where the agent can receive service during normal business hours, not a PO box or shipping-company address.
Complete Form 642 with the old and new information. Select the effective-date option; if requesting a later date, resolve the conflicting date limits in the published form with the Division before submitting.
Have an authorized person of the LLC sign and date the statement and complete the filer contact information. Mail or deliver the signed form to the Business Services Division using the current form's instructions.
Check the Corporate Database, open All Filings and View Filing, and save the filed PDF. The instructions say successful filings do not produce a mailed confirmation.

Form fields and statement requirements
- Items 1 and 2: entity identity
Enter the state entity ID and exact LLC name. These fields connect the statement to the existing record; they are not a place for a trade name, proposed rename or a replacement entity. The instructions ask that the ID also be used in correspondence about the filing. Source 2.
- Items 3 and 4: presently recorded details
Copy the current resident-office address and resident-agent name as presently shown in the Department's records. Do not overwrite these boxes with the incoming agent's information. Their purpose is to identify what the Department is changing from, even if the outgoing provider's contract has already ended. Source 2.
- Items 5 and 6: the new office and agent
Give the new Rhode Island street address, city or town and ZIP code, followed by the new resident-agent name. State correspondence as well as legal service goes to the office identified here. Confirm the exact agent name with the incoming provider rather than entering the name of an employee who happens to handle the account. Source 2.
- Item 7 and execution
Check only one effective-date box. The standard selection is labeled Date received (Upon filing); the other selection requests a later date and carries the conflicting limit described above. The authorized person then names, dates and signs the perjury declaration. Complete the filer-contact page as well, without adding unrelated confidential documents to a public filing. Source 2.
Submit the change to Rhode Island Department of State, Business Services Division
- Use the Department's form route
The maintenance page links Form 642 through the official document library. Use that link to obtain the current version rather than a saved third-party copy. This guide does not describe uninspected electronic screens or promise that a document-library link is itself a completed online filing. Source 1.
- Mail or deliver the signed paper packet
The form directs mailing to the Division of Business Services at 148 W. River Street, Providence, Rhode Island 02904-2615; its instructions also describe in-person submission at the Business Services Division. Use the current packet's payment instructions and include the completed contact information. Type the document: the instructions warn that illegible documents will be rejected. Source 2.
When the change takes effect
Form 642 offers Date received (Upon filing) or a later effective date. Its instructions and signature-page date limits conflict; confirm any delayed date with the Division.
Before you submit
The March 2026 Form 642 instructions say a later date must be within 90 days, while the filing page says no more than 30 days. Do not assume either limit controls a delayed filing without confirmation.
Verify the change and finish the transition
- Retrieve the filed PDF, not a mailed receipt
The instructions say successful filings do not generate a mailed confirmation. In the Corporate Database open the entity, choose All Filings, then View Filing and the PDF for the relevant statement. Save that filed evidence with the signed draft and submission record. Source 2.
- Check unsuccessful submissions too
The Department says filings it cannot process are posted online and then returned. If the intended change is absent, check the filing history for that outcome rather than assuming silence means success. Compare the filed document's effective selection with the transition date you actually arranged. Source 2.
- Reconcile the handoff separately
Practical guidance. Confirm that the new agent has the right internal recipient for legal documents and ask the outgoing provider about items received during transition. Keep recurring-report responsibilities and any unrelated company-address updates on your own checklist. A saved agent-change PDF is not evidence that those separate operational tasks were completed.
Avoid these Rhode Island filing mistakes
- Choosing the 90-day limit without resolving the conflict
The same published packet contains both 90-day and 30-day delayed-date instructions. For a later effective date obtain current Division direction; do not silently choose the longer period or present this guide as resolving the inconsistency. Source 2.
- Using an address-only or corporation form
Match both the entity type and the transaction. Form 642A is the LLC office-only route; Form 640 is the listed corporation agent route. A similar title does not make their signature and statutory references interchangeable. Source 1.
- Waiting for postal confirmation
The form expressly says successful filings will not produce mailed confirmation. Use the Corporate Database's filed PDF as evidence instead of leaving the change unmonitored while waiting for a letter that is not promised. Source 2.
Questions about changing your resident agent in Rhode Island
Does Rhode Island call my LLC's agent a resident agent?
Yes. The LLC-specific Form 642 uses resident agent and resident office. The Department's general maintenance page uses registered-agent wording across entity types; use the LLC terminology and form when preparing this change. Source 2.
Does the incoming agent sign Form 642?
The published form's execution block requires the LLC's authorized person, not a separate incoming-agent acceptance signature. Confirm the agent's agreement before filing, but do not invent a second filed signature requirement absent from this form. Source 2.
Can a foreign LLC use the same statement?
Yes. Form 642 expressly says domestic or foreign limited liability company. Identify the Rhode Island record and the current resident-office information on that record; changing the home-state agent alone does not complete this statement. Source 2.
Can I use the agent statement to rename the LLC?
No. The instructions direct an LLC whose name has changed to file the appropriate amendment, identifying Form 401 or 451. Form 642's name box identifies the company whose resident-agent record is being changed. Source 2.
