How to change your resident agent in Puerto Rico
Puerto Rico uses resident agent. For a domestic LLC, the Department publishes an LLC-specific Certificate of Amendment of the Certificate of Organization. Its separate corporate Certificate of Change of Resident Agent requires written incoming-agent consent; do not assume the corporation form is the LLC form.

Choose the right Puerto Rico filing
Puerto Rico uses resident agent, but the filing must still be selected by entity type. The Department publishes an LLC-specific Certificate of Amendment of the Certificate of Organization and a different Certificate of Change of Resident Agent of a Corporation. The corporate form expressly calls for written incoming-agent consent; the LLC amendment publication instead contains amendment, adoption and execution statements. Do not import the corporate form's mechanics into every LLC transaction. The published PDFs were inspected, while authenticated Registry screens were not, so this guide identifies actual document content without inventing online field names.
- Procedure scope
- A Puerto Rico domestic LLC amending the resident-agent information in its Certificate of Organization, with the separate corporate resident-agent change procedure identified below.
Which route fits your resident agent change?
- Domestic LLC amends the relevant organization article
Use the LLC amendment publication to identify the article being amended and state how it will read after amendment. The Department's organization form places office and resident-agent information together in SECOND. Check the LLC's own filed certificate and amendments before selecting its article; the published template does not prove every company used identical numbering. Source 5.
- Corporation changes its resident agent
The separate corporate change certificate has domestic and foreign choices and requests the corporation name, designated office, present agent and new agent. It expressly requires the new agent's written consent in the certificate or attached. Use that corporate packet rather than relabeling the LLC amendment document. Source 3.
- Office change and foreign LLC transactions need care
The forms directory separately lists a corporation's designated-office change and its resident-agent change. The LLC amendment has domestic and foreign classification choices, but its operative text refers to amending an LLC organized under Puerto Rico law. Foreign LLCs should confirm the correct amendment of their Puerto Rico registration rather than claiming to amend a home-jurisdiction organization certificate. Source 1.
Prepare for the change in Puerto Rico
- Match the registration number and classification
Locate the entity's Registry number and determine whether it is a domestic LLC, US foreign LLC, non-US foreign LLC or corporation. The LLC amendment publication lists those LLC classifications, while the corporate certificate offers domestic and foreign choices. Select the packet before arranging signatures. Source 2.
- Read the LLC's currently operative article
Obtain the filed organization certificate and amendments and identify the actual resident-agent and office provision. The official organization template shows physical and mailing office information, including street, number and municipality, and the resident agent in SECOND. Use the company's existing wording as the baseline rather than assuming a one-name note replaces the whole article. Source 5.
- Arrange LLC adoption under the company contract
SECOND in the LLC amendment says the amendments were adopted by members or administrators as established in the company contract. Review that agreement and obtain the actual adoption before signing. Do not copy a corporate board-resolution process into the LLC simply because both entities use resident agents. Source 2.
- Collect replacement office and agent details
Prepare complete intended replacement information and compare physical and mailing destinations separately. The published organization template distinguishes the two and includes street, number and municipality. Confirm which existing article content should remain when drafting the amended text, especially if only the agent name is changing. Source 5.
- For a corporation, obtain written agent consent
The corporate certificate requires written consent from the new resident agent within the certificate or as an attachment. It also states that the designated-office physical and mailing addresses and the agent's business address will be identical after the change. Obtain the details and consent before the authorized officer signs. Source 3.
Consent and acceptance
The corporate resident-agent change certificate expressly requires the new resident agent's written consent within the certificate or attached to it. The reviewed LLC amendment form does not contain that same consent clause; arrange the agent's agreement and follow the Registry's LLC-specific requirements rather than asserting the corporate attachment rule applies unchanged to every LLC.
Entity-type differences
The corporate resident-agent change certificate provides domestic and foreign corporation choices. The LLC amendment certificate is a separate publication with domestic and foreign classification fields, and its operative language amends an LLC Certificate of Organization. Foreign LLCs should confirm the amendment appropriate to their Puerto Rico registration rather than treating the domestic certificate as an amendment of their home-jurisdiction organization document.
Complete the Puerto Rico change filing
Locate the entity's registration number and determine whether it is a domestic LLC, a foreign LLC or a corporation before selecting the change filing.
For a domestic LLC, prepare the Certificate of Amendment of the Certificate of Organization, identifying the article being amended and stating the complete replacement resident-agent information.
Have the LLC's members or administrators approve the amendment as required by the company agreement, and have the appropriate member or administrator execute the certificate.
Arrange the incoming resident agent's agreement and confirm its Puerto Rico office information. For a corporation's separate resident-agent change, include the new agent's written consent in or attached to the certificate and confirm the designated-office and agent business addresses match.
Use the Department's Registry of Corporations and Entities for the applicable entity transaction and retain the accepted filing. Confirm the appropriate registered-record amendment with the Registry if the entity is foreign or the designated office is also changing.
Open the official filing instructions or transaction. Read the primary sources below alongside these steps.
Form fields and statement requirements
- LLC registration and FIRST
Complete the Registry number and applicable classification on the LLC amendment. In FIRST, identify the article or articles amended and state their replacement text. Do not use the corporate Present Resident Agent and New Resident Agent format as a substitute for the LLC document's amendment statement. Source 2.
- LLC SECOND and execution
SECOND states adoption by members or administrators under the company contract. The execution language identifies the signer as member or administrator and declares the facts true, with a date. Although the signature caption says Authorized Officer, read it with the operative LLC language instead of assuming every corporate officer title suffices. Source 2.
- Corporate FIRST through FOURTH
The corporate certificate requests the corporation name, designated-office physical and mailing addresses, present resident-agent name and new resident-agent name. Complete both old and new identities rather than naming only the replacement. The physical and postal office entries are separate blocks and should not be merged into a single incomplete address. Source 3.
- Corporate FIFTH, execution and consent
FIFTH states the designated-office and agent business addresses will be identical after the change. The authorized officer executes the certificate's truth statement and date. Add the new agent's written consent in or attached to the certificate; the officer's execution and the agent's consent serve different functions. Source 3.
- Limits of the published LLC acceptance evidence
The reviewed LLC amendment does not contain the corporate certificate's explicit incoming-agent consent clause. Arrange the incoming agent's agreement and comply with the actual LLC Registry transaction. Absence of that clause is not evidence that no consent or additional portal requirement can apply. Source 2.
Submit the change to Puerto Rico Department of State, Registry of Corporations and Entities
- Use the Registry's entity-appropriate transaction
The Department's Corporations page links the Electronic Registry of Corporations and Entities and its electronic regulation. Use that official route to identify the applicable transaction for the existing entity. The reviewed public page does not expose authenticated amendment screens, so this guide does not promise a particular menu label, document-upload position or signer workflow. Source 4.
- Use published PDFs as document evidence
The official forms directory separately groups corporate change certificates and LLC documents. Prepare the correct document content and follow the actual Registry instructions for submission. Publication of a PDF is not treated here as proof that mailing that PDF is an independently confirmed current alternative for the LLC transaction. Source 1.
Before you submit
The Department's published PDFs establish different LLC and corporate forms. The authenticated Registry transaction screens were not inspected; confirm the LLC-specific transaction before submission, especially for a foreign registration or simultaneous office move.
Verify the change and finish the transition
- Save the accepted amendment or certificate
Practical guidance. Keep the executed document, any filed consent and the Registry's accepted result together. Identify a correction request separately from an acceptance. A signed LLC amendment proves preparation and execution, not that the Registry recorded the intended resident-agent information.
- Compare article text and recorded destinations
Practical guidance. For the LLC, compare the complete amended article with the intended agent and office details. For a corporation, compare both physical and mailing office information and the new agent identity. Make sure an agent-only change did not unintentionally delete useful office wording from an amended article.
- Keep recurring obligations separate
The Department distinguishes corporate annual reports from LLC annual obligations in its Registry guidance. An agent change should not be treated as evidence those separate obligations were completed. Review the entity's compliance record independently and give the incoming agent current internal contact instructions. Source 4.
- Coordinate the resident-agent handover
Practical guidance. Ask the former agent about pending documents and give the new agent an accountable forwarding recipient and backup. Review tax, permit and contractual contact records separately. Do not infer that the Registry transaction automatically transfers documents held by a former provider or redirects every other office's correspondence.
Avoid these Puerto Rico filing mistakes
- Using the corporate consent certificate as the LLC filing
The Department publishes different LLC and corporate documents. For the domestic LLC route, prepare the amendment and adoption statements; for the corporation, complete the dedicated resident-agent certificate and its written consent. Similar terminology does not make the forms interchangeable. Source 1.
- Amending the wrong LLC article by template number
Read the actual filed certificate first. The published organization template puts office and resident-agent information in SECOND, but a company's own filings control what article is being amended. State the intended replacement text without deleting unrelated operative information by accident. Source 5.
- Assuming a foreign checkbox resolves the operative language
The LLC amendment's classification block includes foreign choices while its operative text refers to an LLC organized under Puerto Rico law. Confirm the proper Puerto Rico registration amendment for a foreign LLC before submission rather than signing a statement that does not fit the entity. Source 2.
Questions about changing your resident agent in Puerto Rico
Does a Puerto Rico LLC use the corporation's agent-change form?
The Department publishes an LLC-specific Certificate of Amendment of the Certificate of Organization separately from the corporate resident-agent change certificate. The LLC document identifies amended articles and adoption under the company contract; do not treat the corporate certificate as interchangeable. Source 1.
Must the new agent provide written consent?
The corporate resident-agent change certificate expressly requires the new agent's written consent within or attached to that certificate. The reviewed LLC amendment does not contain the same clause. Arrange agreement and follow the LLC Registry requirements rather than claiming the corporate attachment rule applies unchanged to all LLCs. Source 3.
Who adopts and signs the LLC amendment?
The published amendment says members or administrators adopt it as established in the company contract. Its execution language identifies a member or administrator declaring the facts true. Read that operative language with the signature caption and the actual company agreement. Source 2.
Can I use the LLC template unchanged for a foreign LLC?
Confirm the appropriate Puerto Rico registration amendment first. The publication includes foreign classification choices, but its operative amendment text refers to an LLC organized under Puerto Rico law. The authenticated foreign transaction was not inspected in this review. Source 2.
Which office details should I inspect during the transition?
The published LLC organization template separates physical and mailing office details and identifies the resident agent in that office article. Inspect the LLC's actual filed provision and amendments before writing replacement text. For the corporation, the dedicated certificate separately requests physical and mailing designated-office addresses. Source 5.
