How to change your registered agent in Virginia

Virginia LLCs change their registered agent or office through LLC1016. Confirm eligibility first: a Virginia address alone does not make an individual an eligible LLC registered agent.

Choose the right Virginia filing

Virginia's main trap is eligibility, not simply finding a local street address. An LLC's individual registered agent must be a Virginia resident and fit a statutory relationship or Virginia State Bar category; a business agent must meet the separate organizational requirements. LLC1016 is the SCC's change service for both Virginia and registered foreign LLCs. Prepare the qualification and office together, because the filed statement must say that the LLC will comply with section 13.1-1015 after the change. Official indexed evidence supports the rules below; direct SCC and legislative pages were unavailable during this review, and authenticated screens were not inspected.

Which route fits your registered agent change?

A Virginia or registered foreign LLC replaces its agent

The SCC lists LLC1016 to update a registered-office address or change a registered agent on both its Virginia and foreign LLC pages. Select the existing Commission record for the LLC. The foreign LLC uses this route for its Virginia registration, not to amend the appointment in the state where it was formed. Source 2.

The agent remains, but its own information changes

Section 13.1-1016(C) separately addresses circumstances in which an existing registered agent signs and files a change, including its own legal-name or Virginia business-address change. Decide who is making the change and whether the appointment actually changes before using an agent-filed route for an entity's replacement. Source 3.

Loss of eligibility or another entity type

Section 13.1-1016 calls for prompt filing when an agent dies, resigns or no longer qualifies. Do not wait for a recurring filing to resolve that problem. Corporations have their own statutory and filing procedures; LLC1016 and the LLC relationship categories should not be copied unchanged into a corporation's appointment. Source 3.

Prepare for the change in Virginia

Collect the current Commission record

Get the LLC's exact name, current registered-office address and current registered agent. Section 13.1-1016 requires those current details as well as any replacements. Keep the SCC identity separate from an account nickname or an affiliated entity's name before preparing the statement. Source 3.

Verify an individual's qualifying relationship

An individual must reside in Virginia and meet a category in section 13.1-1015(A)(2). These include an LLC member or manager, the specified relationships through a member or manager entity, a Virginia State Bar member, or an officer of the represented LLC. For that last category, the statute defines an officer as an employee other than a member or manager whom the LLC designates in writing to receive process, notice or demand. The agent or a person the agent designates must be available during regular business hours at the registered office. Check the actual category and its conditions; residence and an address alone do not establish eligibility. Source 4.

Verify a business agent's category

The organizational category includes an authorized domestic or foreign stock or nonstock corporation, LLC or registered LLP. Its business office must be identical with the registered office, and it must designate natural persons there to receive service. The represented entity cannot be its own registered agent; confirm the provider's eligible legal entity rather than just its brand. Source 4.

Confirm the Virginia office and willingness to serve

The registered office must be in Virginia and match the agent's business office. Arrange agreement with the proposed agent and collect its exact name and qualifying capacity before execution. This guide does not infer a separate consent attachment or notarization requirement from a statute and online-service listing that do not establish those implementation details. Source 4.

Entity-type differences

The SCC lists LLC1016 for both Virginia and foreign LLCs. Business corporations use their corporation change procedure rather than assuming the LLC form or section 13.1-1015 eligibility categories apply unchanged. A current agent's own name or Virginia business-address change is separately addressed in section 13.1-1016(C).

Complete the Virginia change filing

  1. Retrieve the LLC's Commission record and confirm its name, current registered agent and current registered-office address.

  2. Check the proposed agent against section 13.1-1015. An individual must be a Virginia resident and satisfy a listed relationship or Virginia State Bar qualification; a business agent must satisfy the statute's entity qualifications.

  3. Set the new registered office to the agent's Virginia business office. Collect the new agent's exact name and qualifying capacity for the filing.

  4. Use the SCC's LLC1016 File Online option or request the Commission's form. State the old and new information and the certification that the LLC will comply with section 13.1-1015 after the change; complete the authorized signature requirements.

  5. Submit to the Commission, retain the filed statement and check the updated record before ending the previous service arrangement.

Form fields and statement requirements

LLC name

Section 13.1-1016 requires the limited liability company's name. Identify the existing SCC record accurately rather than entering a proposed rename or a service-provider name. Use the Commission record as the reference for the statement being submitted. Source 3.

Current and new registered office

State the current registered-office address and the new address if it changes. Review the new address against the incoming agent's Virginia business office before certifying compliance. Do not automatically use the LLC's principal operating address if that is not the agent's business office. Source 3.

Current and new registered agent

State the current agent and the replacement if changing it. Prepare the replacement's qualifying capacity as part of the eligibility review. If naming an organization, use its eligible legal entity; if naming an individual, ensure that person's residency and listed relationship or professional qualification are supportable. Source 4.

Post-change compliance statement and execution

Include the statement that after the changes the LLC will comply with section 13.1-1015. This is a substantive certification, not decorative wording: the name, qualifications and office must support it. Complete the SCC's current authorized signature requirements; this guide describes statutory statement content rather than uninspected screen labels. Source 3.

SCC's listed online LLC1016 route

The official Virginia and foreign LLC pages list the LLC1016 change service with a File Online route through the SCC system. Start from the page matching the company's registration. The indexed official listing confirms availability, but a live authenticated transaction was not inspected; do not rely on invented menu names or assumed document-upload steps. Source 1.

Obtain current instructions for a non-online filing

If online filing is not usable, obtain the Commission's current statement and delivery directions rather than using an old saved address or guessing that a general email accepts filings. Section 13.1-1016 establishes filing with the Commission; the evidence reviewed here does not verify a current paper destination or acknowledgment channel. Source 3.

Before you submit

Do not appoint an unrelated Virginia resident solely because the person has a street address. Verify the statutory relationship or professional qualification, or select a qualifying business entity.

Verify the change and finish the transition

Save the Commission's filed evidence

Practical guidance. Retain the filed statement or SCC acknowledgment alongside the submission confirmation and the eligibility review. A login receipt or appointment contract is not the same as a filed change. If the transaction is returned for correction, keep the corrective submission tied to the original entity record.

Reconcile qualification as well as spelling

Check that the resulting agent and office match the appointment and remain consistent with the capacity relied on. Using a different employee at the same address does not by itself establish eligibility. If relying on the LLC-officer category, verify the written designation and regular-business-hours availability required by section 13.1-1015 rather than treating the replacement as a spelling correction. Source 4.

Complete the private handoff separately

Practical guidance. Confirm the incoming agent's forwarding contact, reconcile pending documents with the outgoing provider and review cancellation terms against the confirmed filing. Keep principal-office information, other-state appointments and recurring filing responsibilities separate from this registered-agent transition.

Avoid these Virginia filing mistakes

Appointing any Virginia resident

Residency is only part of an individual's eligibility. Verify a listed LLC relationship or Virginia State Bar membership before filing; a local address and willingness alone do not satisfy the LLC statute. Source 4.

Naming the LLC itself as agent

The organizational-agent provision does not allow the represented entity to be its own agent. Choose an eligible separate organization or a qualifying individual and use the correct business office. Source 4.

Using a principal-office move as the change

The statutory statement specifically identifies registered-office and registered-agent information and certifies post-change compliance. An operating-address update alone does not supply those elements. Prepare LLC1016 for the registered appointment actually being changed. Source 3.

Questions about changing your registered agent in Virginia

Can an unrelated Virginia resident serve as my LLC's agent?

Not merely by being a resident. An individual must also satisfy a category in section 13.1-1015(A)(2), such as the specified member or manager relationships, Virginia State Bar membership, or the represented LLC's officer category. That officer category covers an employee other than a member or manager designated in writing by the LLC to receive process, notice or demand, with the required regular-business-hours availability. The individual's business office must be identical to the registered office. Source 4.

Can I use a qualifying business instead of an individual?

Yes. Section 13.1-1015 lists eligible authorized corporations, LLCs and registered LLPs, subject to the business-office and designated-natural-person requirements. The represented entity may not name itself as its own agent. Source 4.

Does a foreign LLC use LLC1016?

The SCC's foreign LLC page lists LLC1016 for updating the registered office or changing the agent. Use the Virginia registration record, and keep any home-state appointment change separate. Source 2.

What if the agent resigns or stops qualifying?

Section 13.1-1016 requires prompt filing when the agent dies, resigns or no longer meets the qualifications. Arrange a qualifying replacement and file the change rather than assuming a future recurring report will resolve it. Source 3.
