Virginia registered agent requirements
The rule
Governing statute: Va. Code § 13.1-1015 (LLC registered office and agent), § 13.1-1016 (statement of change), § 13.1-1018 (service when there is no agent), § 13.1-1050.2 (automatic cancellation), § 13.1-1062 (annual registration fee); stock corporations file under §§ 13.1-775 and 13.1-775.1
The registered office must be a Virginia address — stated by street and number and by city or county — that is identical to the registered agent’s business office. A separate mail drop that is not the agent’s own office does not satisfy § 13.1-1015.
Virginia controls eligibility rather than posting a blanket hours rule: an individual agent must be a Virginia resident holding one of the listed roles in the entity or be a member of the Virginia State Bar, and an officer or employee designated to receive service must be available at the registered office during regular business hours.
If you have no agent
If your agent resigns and no statement of change is filed, the Commission mails an impending-cancellation notice, and the entity’s existence is automatically canceled on the last day of the second month after that notice (§ 13.1-1050.2). In the meantime the clerk of the Commission becomes your agent for service under § 13.1-1018, so a suit can proceed without ever reaching you.
