How to change your registered agent in Wisconsin

Wisconsin Form 13 updates the registered agent's name and email and the registered-office street address. When the entity files, it affirms the replacement agent's consent; the registered office must remain the agent's actual Wisconsin business office.

Choose the right Wisconsin filing

Wisconsin's May 2026 Form 13 is a complete replacement of the recorded agent-information set, not just a note about one changed field. Item 3 becomes the updated name, email and registered-office address, including details that stay the same. The form also distinguishes an entity-filed change from an existing agent's filing and applies different signature rules by entity type. For an LLC replacing its agent, select Entity, obtain consent before naming the replacement and have an LLC-authorized person execute the statement.

Procedure scope
Wisconsin domestic LLCs and registered foreign LLCs; Form 13 also covers the corporation and partnership statutes listed on the form.

Which route fits your registered agent change?

The LLC appoints a different agent

Form 13 covers the listed LLC change authorities as well as other entity statutes. For an entity-filed replacement select Entity in item 4. That selection affirms that any newly designated agent consented. The same form can accommodate a registered foreign entity's Wisconsin name; identify the actual entity record being changed. Source 1.

The current agent files its own change

The Registered Agent selection is for the current agent as filer and affirms that it notified the represented entity. Item 2's current information is required in that branch. Do not select Registered Agent merely because the subject matter concerns an agent; the selection identifies who is making the filing. Source 1.

An office or email update without a new agent

Form 13 updates agent name, email and registered-office address. Decide which changes are intended, then provide the full resulting information in item 3, including unchanged details. A company operating-office move is not automatically a registered-office change: the latter must remain the agent's Wisconsin business office. Source 1.

Prepare for the change in Wisconsin

Collect the entity's Wisconsin identity

Obtain the name on DFI's record, including the registered or fictitious name if the foreign entity holds authority or registration under one. The form expressly asks for that additional name. Do not assume a provider account label or the home-state name alone identifies the Wisconsin record completely. Source 1.

Obtain consent before designation

DFI's instructions say entities must obtain consent before naming an agent. The entity's signature affirms that requirement was met. Arrange acceptance for this LLC before signing rather than treating a publicly listed service address as consent. The published form does not supply a separate incoming-agent acceptance signature block. Source 1.

Confirm the actual Wisconsin service office

The registered office must be located in Wisconsin, be the agent's business office and be an actual physical location with a street address. It cannot consist solely of a PO box, mailbox service or telephone answering service. The represented entity may not name itself as agent, so check both the provider's identity and the office. Source 1.

Prepare the authorized signer and contacts

For an LLC the form's all-other-entity rule calls for a person authorized by the entity. Collect the signer's printed name, title and execution date, plus contact name, mailing address, email and phone. Do not apply the corporation's officer-only rule to an LLC or assume a corporation director may sign solely as director. Source 1.

Entity-type differences

Form 13 lists LLC, corporation and partnership authorities and accommodates a foreign entity's fictitious Wisconsin name. For business corporations, an officer ordinarily must sign; a director cannot sign merely as director. LLCs fall under the form's other-entity authorized-person signature rule. A current agent filing its own change selects Registered Agent, supplies the current information and affirms it notified the entity.

Complete the Wisconsin change filing

  1. Enter the entity's name and any registered or fictitious name used for its Wisconsin authority or registration.

  2. Obtain the replacement agent's consent and confirm its Wisconsin business street address. Do not name the represented entity itself or use solely a PO box, mailbox service or telephone answering service.

  3. Complete item 3 with the entire updated agent name, agent email and registered-office address, including information that remains unchanged; these fields become the updated record.

  4. Select Entity in item 4 for an entity-filed replacement, and have a person authorized by the LLC sign, date and state their name and title. Complete the contact information.

  5. Submit one original to DFI using the form's ordinary or express-mail instructions and retain the filed statement. Check the resulting name, email and address rather than assuming only the changed field was updated.

Form fields and statement requirements

Item 1: entity name and any Wisconsin alternate name

Enter the entity name and the registered or fictitious name when applicable. This is the represented business, not the replacement agent. Match DFI's record so a foreign company's permitted Wisconsin name is not lost in a shorthand reference to its formation-state identity. Source 1.

Item 2: current information only when required

The form says current agent name, email and registered-office information are required only when the current registered agent is filing and is identified that way in item 4. For the LLC's entity-filed replacement, do not mistakenly describe this conditional block as mandatory for every filer. Source 1.

Item 3: the complete resulting record

Enter the updated agent name, agent email and registered-office street address, including unchanged information. DFI says its record will reflect what is entered in this section after filing. Even an email-only change needs careful completion of the full information set; blank unchanged fields are not a useful instruction to preserve them. Source 1.

Item 4 and execution

Select Entity for the LLC's replacement. Sign and date, then give printed name and title. The certification states that the changes are made and the registered-office and agent-business-office street addresses are identical. Review that equality together with item 3 before executing the consent affirmation. Source 1.

Contact information

Complete the contact section for the person handling the filing, keeping it distinct from the agent's email in item 3. That distinction helps an administrator avoid replacing the statutory agent contact with a temporary preparer address simply because that person is submitting the packet. Source 1.

Submit the change to Wisconsin Department of Financial Institutions, Division of Corporate and Consumer Services

Ordinary paper submission

The instructions call for black ink and one original sent to State of WI–Department of Financial Institutions, Box 93348, Milwaukee, WI 53293-0348, with the required payment using the stated payee. Submit the completed filing pages and execution, not just a cover letter describing an intended change. Source 1.

Express or priority US mail

The form separately directs express or priority US mail to DFI, Division of Corporate and Consumer Services, 4822 Madison Yards Way, 4th Floor, North Tower, Madison, WI 53705. Use the destination matching the delivery method. The inspected evidence establishes paper directions, not a specific authenticated online Form 13 transaction or guaranteed turnaround. Source 1.

Before you submit

Item 3 replaces the full set of agent information in DFI's record. Do not leave unchanged required details blank. Item 2 is required when the current registered agent is the filer, rather than for every entity-filed replacement.

Verify the change and finish the transition

Keep the filed statement and submission record

Practical guidance. Retain DFI's filing evidence with the signed Form 13 and delivery record. A delivery confirmation is useful for tracking but is not the filed statement itself. If another person submits the form, identify in advance who saves the acknowledgment and handles any requested correction.

Compare all of item 3

DFI says the record is updated to reflect the name, email and office address in item 3. Check every one of those resulting details, even if your intended change concerned only the agent name. An unchanged address or email should still match the intended complete record. Source 1.

Reconcile the service transition

Practical guidance. Give the new agent a monitored forwarding contact, check with the old provider for pending documents and retain the consent record internally. Separately review company operating addresses, other-state appointments and recurring obligations rather than assuming Form 13 changed those unrelated records.

Avoid these Wisconsin filing mistakes

Leaving unchanged item 3 details blank

Item 3 is the full updated agent-information set, not a changes-only comment box. Include the name, email and registered office that should remain after filing. Review it as the final record rather than assuming blank fields will preserve old information. Source 1.

Selecting Registered Agent for the LLC's filing

That selection identifies the current agent as filer and triggers the current-information and notification requirements. The represented LLC replacing its provider selects Entity and affirms consent. Do not confuse the filing subject with the filer. Source 1.

Using the wrong entity's signature rule

Business corporations ordinarily require an officer, limited partnerships require a general partner, and other types including LLCs use a person authorized by the entity. A corporation director cannot sign merely as director. Apply the rule for the represented entity rather than the provider's organizational form. Source 1.

Questions about changing your registered agent in Wisconsin

Does every Form 13 filer have to complete item 2?

No. The form says item 2 is required when the current registered agent files and identifies itself as filer in item 4. An entity-filed replacement follows the Entity branch and still must fully complete the resulting information in item 3. Source 1.

Does the new agent sign a separate acceptance on Form 13?

The published form relies on the entity's affirmation that it obtained consent. It does not provide a separate incoming-agent signature block. Obtain consent before naming the replacement and have the appropriate entity-authorized person execute the statement. Source 1.

Can I give only the one field that changed?

Not in item 3. The instructions require the complete updated name, email and registered-office information, including unchanged details, because those entries become DFI's updated record. Source 1.

Who signs for a Wisconsin LLC?

An LLC falls under the form's all-other-entity-types instruction: a person authorized by the entity signs and identifies their title. Do not import the business-corporation officer rule or assume the service provider has authority merely from being appointed agent. Source 1.
