Choose the right West Virginia filing
West Virginia's AAO is a combined application for process agents, officers and several address categories. For an LLC that chooses to appoint or replace a named agent for service of process, section 4 is the relevant change, and the July 2026 version expressly requires the incoming agent's signature. Do not turn that replacement procedure into a nationwide claim that every West Virginia LLC must have a private agent: the LLC statute uses may continuously maintain. Nor should optional status be mistaken for a verified removal-only procedure; this guide covers the appointment and replacement packet actually inspected.
- Procedure scope
- West Virginia registered LLCs, including a domestic LLC appointing or replacing its named agent for service of process.

Which route fits your agent of process change?
- Appoint or replace a named process agent
Use AAO's Change of Agent for Service of Process section for the company's chosen appointment. It identifies the current agent and the new agent's name and address, then requires the new agent's signature. The combined application can serve several entity types, so select Limited Liability Company for an LLC rather than assuming the packet is LLC-only. Source 1.
- Company address changes are separate selections
Section 3 distinguishes principal office, principal mailing and designated office. Use only the appropriate lines for company addresses also changing. A new agent address in section 4 is not a reason to replace all those company addresses automatically with the provider's office. Source 1.
- Officer changes or removal-only questions
AAO separately includes changes of officers or persons in authority, with role choices by entity type. Do not enter the new process agent as an LLC member or manager merely to complete those unrelated sections. A request to remove an agent without appointing another is outside the replacement instructions established here; confirm the actual current transaction before using blank new-agent fields. Source 1.
Prepare for the change in West Virginia
- Gather the previously filed company information
The form warns that no change can be accepted without the company name and principal-office information as previously filed. Collect those details, the West Virginia formation date requested and the home state. Keep existing identity information distinct from a proposed new principal-office address. Source 1.
- Arrange the new agent's actual acceptance
Section 4 states consent and adds a New Agent Signature line. Obtain that signature for the named appointment before sending the packet. The company's section 8 signature is a different execution requirement; it does not replace the incoming agent's acceptance. Source 1.
- Check the proposed agent against LLC eligibility
Official indexed section 31B-1-108 identifies a West Virginia resident individual, domestic corporation, another LLC, or authorized foreign corporation or company as eligible categories. Verify the proposed agent rather than borrowing another state's generic qualification list. Direct legislative requests were unavailable in this review; the current AAO itself was fully inspected. Source 2.
- Prepare the order and return instructions
The packet says to include the Customer Order Request. Prepare the business name, filing description, contact information and return selection there. Decide whether a filed stamped copy is wanted: the application requests one original ordinarily and two if a stamped copy is to be returned. Source 1.
Consent and acceptance
Section 4 states that the named agent has consented and includes a New Agent Signature line. Obtain that signature on the filed AAO; do not treat an unsigned name entry or the company's signature alone as the form's agent acceptance.
Entity-type differences
AAO lists corporations, LLCs, LLPs, limited partnerships and several other entity types, and asks for home state so the appropriate West Virginia record can be identified. Corporate and other entity signers must use the capacity appropriate to their type. This guide addresses appointing or replacing a named agent, not a universal mandatory-agent rule or a demonstrated procedure for removing an appointment without a replacement.
Complete the West Virginia change filing
Select Limited Liability Company in the entity-type list and enter the company name and principal office exactly as previously filed, along with its West Virginia formation date and home state.
Complete section 4 with the current agent's name and the new agent's name and address; use the separate address-change section only for company addresses that are also changing.
Have the new agent sign the section 4 consent to appointment as agent to accept service of process on behalf of the company.
Complete the company's signer name, title or capacity, signature and date in section 8, together with the requested contact and email updates.
Include the Customer Order Request with the filing and mail the original to a Secretary of State hub office listed in the packet. Retain the returned filing evidence; the form requests an additional original if a stamped copy is desired.

Form fields and statement requirements
- Sections 1 and 2: entity and existing record
Check Limited Liability Company and enter the company name and registered principal office as previously filed, with the requested date and home state. The old-record identification remains necessary even when section 3 requests a new company address. Do not identify a foreign LLC only by its home-state record. Source 1.
- Section 3: only the intended company-address changes
Use the principal-office, principal-mailing or designated-office line that matches an additional address change. Do not put the replacement agent's name here. These categories concern company addresses and are separate from section 4's process-agent appointment. Source 1.
- Section 4: current agent, new agent and signature
Enter the current agent name and the new agent's name and address in their respective portions. Have the incoming agent sign the stated consent to accept service of process for the company. Review the signature together with the appointment name so a different provider is not named from the one that accepted. Source 1.
- Sections 6–8: email, contact and entity execution
Section 6 provides an email update field. Section 7's contact name and phone are optional but the form explains they can help resolve problems. Section 8 requires printed signer name, title or capacity, signature and date. Use the LLC-appropriate authority and read the false-statement notice before execution. Source 1.
- Customer Order Request
Describe the filing as the intended process-agent appointment or change and select the return method. The packet provides pickup, email, specialty-carrier and standard-mail choices, with the relevant return details. Do not insert financial account or identity numbers into the public AAO to explain payment or identify the company. Source 1.
Submit the change to West Virginia Secretary of State, Business and Licensing Division
- Mail the original packet to a listed hub
The order request says to mail the filing to any listed Secretary of State hub office. Use the current packet's Charleston, Clarksburg or Martinsburg destination and include the Customer Order Request. This guide confirms the paper route; it does not infer an online AAO submission merely because other West Virginia filings have online services. Source 1.
- Prepare the requested return evidence
Send one original, or two when requesting a filed stamped copy as the application directs. Complete the order's return selection and any needed return envelope or prepaid carrier label. The packet discusses optional handling services, but this guide does not promise a processing turnaround or reproduce their pricing. Source 1.
Before you submit
Use the July 2026 packet's agent-signature requirement, not an older checklist that only asks for the entity's signature. Avoid including sensitive identification or financial account numbers: AAO is a public document.
Verify the change and finish the transition
- Retain the returned filing evidence
Practical guidance. Save the filed stamped copy if requested, or other returned acknowledgment, with the signed AAO and order request. Use the return method you selected to monitor completion. A package-delivery scan is not the same evidence as a filed appointment.
- Check all affected fields
Practical guidance. Compare the resulting company record with the intended agent name and address, and verify any company-address or email updates actually requested. If officer changes were not intended, make sure the draft and filing did not accidentally describe the agent as an LLC member or manager.
- Reconcile notices before closing the handoff
Practical guidance. Confirm who receives documents from the incoming agent and ask the outgoing provider about pending items. Keep private service cancellation, company mailing changes and the named-agent appointment as distinct checklist items. Optional-agent status is not itself evidence that a particular cancellation or removal filing has been completed.
Avoid these West Virginia filing mistakes
- Using an old no-agent-signature checklist
The July 2026 AAO includes a New Agent Signature line in section 4. Obtain it in the filed packet, not just the LLC's section 8 signature or a typed acceptance sentence. Source 1.
- Omitting the previously filed principal office
Section 2 warns that a change cannot be accepted without that existing identification information. If the principal office also changes, identify the old record first and then use section 3 for the new address. Source 1.
- Treating the form as a confidential cover sheet
AAO is a public document and warns against social security, account, card, tax-identification and driver's-license numbers. Include only the requested business and filing information rather than attaching sensitive identifiers to explain the transaction. Source 1.
Questions about changing your agent of process in West Virginia
Does every West Virginia LLC have to appoint a private agent?
The LLC provision uses may continuously maintain an office and agent, rather than a universal mandatory-private-agent rule. This guide covers a company choosing to appoint or replace a named agent. It does not establish a removal-only procedure or resolve every statutory service-of-process question. Source 2.
Who signs when I replace the process agent?
The incoming agent signs section 4's acceptance, and the company's authorized signer separately completes section 8 with printed name, title or capacity, signature and date. Both roles appear in the July 2026 AAO. Source 1.
Must I change the company's principal or mailing office too?
The form provides separate section 3 lines for those changes. Use them only when those company addresses are actually changing; the new process agent's name and address belong in section 4. Source 1.
How do I request a filed stamped copy?
The AAO says to file two originals if a filed stamped copy is wanted, rather than the ordinary one original. Include the Customer Order Request and complete its return information so the filing office has the requested return instructions. Source 1.
