Choose the right California filing

California's LLC agent change belongs in a complete Statement of Information, not an agent-only notice and not a Statement of No Change. The statutory role is agent for service of process. The most important fork is whether the replacement is a California-resident individual or a registered corporate agent: an individual needs a California street address, while the corporate-agent designation supplies only the registered agent's name. Current Secretary of State guidance also resolves a common timing misconception: update changed information between regular filing periods rather than waiting for the next biennial window.

Procedure scope
Agent for service of process changes for California domestic LLCs and qualified out-of-state LLCs through their Statement of Information.

Which route fits your agent for service of process change?

An LLC changes its agent or the agent's address

Use Statement of Information — CA and Out-of-State LLC, the LLC-12 transaction. Section 17702.09(d) requires a current statement when the agent or agent address changes, containing all information required by subdivision (a). The filing is therefore more than entering one replacement name; review the rest of the company's statement information too. Source 1.

Nothing at all has changed

The no-change alternative is available only when the information in the last filed statement has not changed. LLC-12NC, Statement of No Change, cannot appoint a different agent or update the same agent's address. A change limited to the agent is still a change and requires the current full statement. Source 1.

The business is a corporation or another entity

Stock and qualified out-of-state corporations use their corporation Statement of Information, commonly identified as SI-550, not the LLC statement. Nonprofit corporations have their own statement. Limited partnerships and LLPs use the separate amendment documents listed by the Secretary of State; do not extend the LLC procedure to them. Source 3.

Prepare for the change in California

Establish access before expecting the filing option

Since August 1, 2026, User Access is required for Statement of Information filings in bizfile Online. The option is visible only to users with established access. Arrange the entity's access control in advance; creating a general portal login is not the same as obtaining filing access for this LLC. Source 2.

Choose a qualifying individual or corporate agent

An individual must reside in California. A corporate agent must be active and have a current Corporate Registered Agent (1505) Application on file. Obtain the registered corporate agent's advance approval before designating it. The LLC cannot name itself as its own agent. Source 3.

Assemble a complete current company statement

Prepare the LLC name and Secretary of State file number, principal and applicable California office addresses, any different mailing address, manager or member information, any chief executive officer, and principal business activity. For a foreign LLC, also prepare the authorized California name and home jurisdiction. The statute requires a complete current statement for an agent change. Source 1.

Check the labor-judgment disclosure with the right people

The statement includes the statutory outstanding-final-wage-judgment disclosure. Section 17702.09 distinguishes manager-managed and member-managed LLCs and contains specified-member and foreign-company qualifications. Obtain current information from the relevant managers or members rather than automatically repeating an old answer because only the agent is changing. Source 1.

Review the public-record implications

The Secretary of State warns that an individual agent's name and physical street address are public. Discuss the actual California service location with the individual before filing. A private forwarding preference is not a reason to substitute an unsupported address or the company's remote mailing address for the individual agent's address. Source 3.

Entity-type differences

Domestic and qualified out-of-state LLCs use the LLC Statement of Information. Stock and out-of-state corporations use their corporation statement, while nonprofit corporations use the nonprofit statement. Limited partnerships and LLPs have different change documents; the LLC route is not universal.

Complete the California change filing

  1. Choose either an individual residing in California or an active registered 1505 corporate agent. The LLC cannot designate itself.

  2. Obtain the corporate agent's advance approval if appointing a registered corporate agent, and arrange acceptance with any individual you intend to name.

  3. Sign in to bizfile Online and establish User Access for the LLC. The Secretary of State requires that access for Statement of Information filings.

  4. Open the LLC's Statement of Information and complete the current information requested, including the replacement agent designation and the individual agent's physical California address when applicable.

  5. Submit the statement, save the filed copy and review the updated entity record. File an updated statement when the information changes rather than waiting for the next regular filing window.

Form fields and statement requirements

Entity identity and jurisdiction

Use the Secretary of State file number and the LLC's legal name, not a county fictitious business name. For an out-of-state LLC, provide its California authorized name where applicable and its formation jurisdiction. Those are part of the statutory statement elements, not a request to form the business again. Source 1.

Individual agent fields

For a California-resident individual, supply the agent's name and California street address. Keep this designation separate from the LLC's principal office and mailing address. The statutory street-address requirement is not satisfied merely by entering an address in the company's unrelated mailing-address section. Source 1.

Registered corporate agent field

When designating a corporate agent, section 17702.09 says only the agent's name is set forth. Use the approved registered corporate agent's actual name, not an employee's name or a combined individual/corporate designation. Do not populate individual-agent address fields as though the corporate appointment were a natural person. Source 1.

Managers, members and other current information

Prepare manager and chief executive officer information where applicable, or member information when no manager has been appointed, together with required addresses and business activity. A current agent-change statement supersedes earlier statement information, so incomplete unrelated sections are not harmless omissions. The statute directs return of an incomplete statement for correction. Source 1.

Execution through the selected filing process

Follow the current statement's certification and signer prompts in bizfile Online. The Secretary of State accepts electronic signatures through its online process; a computer-generated signature made to resemble handwriting on a paper filing is not an accepted substitute. This guide describes published requirements, not an inspected authenticated filing screen. Source 3.

Submit the change to California Secretary of State, Business Programs Division

File the full LLC statement online with access

Use bizfile Online with User Access established for the entity, select the LLC's Statement of Information and complete the current information and execution requested. The official filing-tips page says updated statements should be filed when information changes between statutory periods. Do not assume online agent changes are confined to the six-month regular filing window. Source 2.

Do not upload a no-change substitute

The statutory no-change option reports that the required information has not changed. It does not provide a shortcut for an agent-only update. Use the complete statement and review all required information before submission; keep agent approval and the submitted document with the company's records. Source 1.

Before you submit

User Access has been required for Statement of Information filings since August 1, 2026. An individual agent's name and street address are public records.

Verify the change and finish the transition

Save the filed statement and compare the result

Practical guidance. Keep the filing result and compare the public entity record's agent designation with the approved appointment. For an individual, check the street address; for a registered corporate agent, check the corporate name. A portal draft or access request is not the filed replacement statement.

Keep the recurring filing calendar

LLCs generally file biennially, while stock and qualified out-of-state corporations generally file annually. Do not interpret the agent change as conversion to a corporation's schedule, or assume it erases every future statement obligation. Use the Secretary of State's filing-period guidance for the actual entity. Source 3.

Reconcile private contact channels

Practical guidance. Confirm the incoming agent's forwarding recipient and preserve access-control arrangements so the next authorized filer can reach the record. Separately review tax, licensing, county and bank contacts. Changing the public process agent should not be treated as proof that every operational address has changed.

Avoid these California filing mistakes

Waiting for the biennial window

The current filing-tips page expressly calls for updated statements between statutory periods when information changes, and the LLC statute requires a current statement for agent or agent-address changes. Do not leave a former agent on record because a guide describes only the regular six-month window. Source 2.

Using Statement of No Change for a single changed field

An agent-only replacement still changes required information. File the complete LLC statement rather than certifying no changes. The no-change alternative applies to unchanged information, not to changes considered minor by the filer. Source 1.

Mixing individual and corporate agent fields

Individual appointments require the name and street address; a corporate-agent designation supplies only the corporate agent's name. Verify the corporate agent's active 1505 status and advance approval, rather than treating any corporation or service brand as a registered corporate agent. Source 3.

Questions about changing your agent for service of process in California

Can I change the California LLC agent outside the regular filing period?

Yes. Current Secretary of State guidance says to file an updated statement when information changes between statutory periods. Section 17702.09 specifically requires a current full statement when the agent or its address changes. Source 2.

Why can I sign in but not see the Statement of Information option?

The August 1, 2026 access update says the filing option is visible only to users with User Access established. Follow the official access-control guidance for the entity; a login alone does not establish that access. Source 2.

Do I enter my registered corporate agent's street address?

Section 17702.09 says that if a corporate agent is designated, only its name is set forth. The individual-agent street-address requirement should not be applied as if a registered corporate agent were an individual. Source 1.

Does a California corporation use the LLC statement?

No. Stock and out-of-state corporations use the corporation Statement of Information rather than the LLC transaction; nonprofit corporations use their own statement. The Secretary of State lists different documents for partnerships as well. Source 3.
