Choose the right Maine filing
Maine's CLK/RA 3 is shared across several entity types, but it does not flatten their terminology or signature rules. A domestic LLC appoints a registered agent; a domestic business corporation changes its clerk and has an additional authorization section. The most important LLC preparation choice is commercial versus noncommercial appointment: one uses a CRA public number and name, the other uses a name and physical Maine address with a separate mailing address if different.
- Procedure scope
- Entity-filed appointment or change for a Maine domestic LLC; CLK/RA 3 also covers the listed domestic and foreign entity types.
- Form or online transaction
- Statement of Appointment or Change of Clerk or Registered Agent, Form CLK/RA 3
Which route fits your registered agent change?
- Appoint a different registered agent
In FIRST, choose the new clerk-or-registered-agent option for a replacement. The form's signature instructions then require an LLC's duly authorized person to execute it. SECOND identifies the current appointment, while THIRD or FOURTH supplies the new agent's category-specific identifying information. Source 1.
- Update the existing appointee's information
FIRST separately permits a change of existing information and distinguishes address from name changes. Its double-asterisk signing instruction calls for the existing clerk or agent to sign. Do not select that route solely because a new provider will use a different office; a replacement is a new appointment. Source 1.
- Recognize the domestic corporate exception
Domestic business corporations complete SIXTH for a change of clerk, selecting board authorization or shareholder authorization. That exception matters: Title 5 section 108 generally dispenses with interest-holder or governor approval for domestic entities, but expressly excepts corporations formed under Title 13-C. Source 2.
Prepare for the change in Maine
- Retrieve the legal name and current appointment
Use the exact legal entity name on the Secretary of State's records and retrieve the current clerk or registered agent for SECOND. If a Maine foreign registration is involved, also obtain its jurisdiction of organization and date of authorization to transact business in Maine. Source 1.
- Ask whether the agent has a CRA listing
For a commercial appointee, obtain its CRA public number and exact CRA name for FOURTH. Do not assume a provider is commercially listed merely because it is a business. The noncommercial branch requires a different set of entries, so resolve the category before collecting signatures. Source 1.
- Prepare the noncommercial office details
THIRD requires the noncommercial appointee's name and physical street address, expressly not a PO box, including city, state and ZIP. Provide a mailing address if different. Keep those categories separate instead of replacing the physical location with an address used only to receive correspondence. Source 1.
- Obtain agreement and return contacts
FIFTH affirms that the appointee consented. Obtain agreement before execution. The customer cover letter separately requests a filing contact, contact email, annual-report-reminder email and recipient of the attested copy. Decide who monitors each destination rather than automatically using a departing provider's contact information. Source 1.
Consent and acceptance
Title 5, section 108(3) makes the appointment an affirmation by the entity that the clerk or agent consented. CLK/RA 3 includes that affirmation; a new LLC appointment is signed by a duly authorized person for the LLC, rather than by the incoming agent on a separate consent line.
Entity-type differences
Domestic and foreign LLCs use registered agent. Maine domestic business corporations use clerk and must complete the form's board-or-shareholder authorization section. Foreign entities must also state their jurisdiction and Maine authorization date. An existing agent's own information change has different signature instructions.
Complete the Maine change filing
Confirm the entity's exact legal name and the current clerk or registered agent shown on the state record.
Select the new-agent option. For a noncommercial agent, complete the name, physical street address and any different mailing address; for a commercial agent, complete the CRA public number and name.
Obtain the replacement's consent before making the form's consent affirmation.
Have a duly authorized person sign for an LLC. Complete the foreign-entity section if applicable; a domestic business corporation must also complete its clerk-authorization section.
Include the customer contact cover letter, submit the signed filing using its delivery instructions, and retain the attested copy.

Form fields and statement requirements
- FIRST and SECOND: transaction and existing appointee
Select the new-appointment or existing-information-change option accurately, then state the current clerk or registered agent. That choice controls the signature instructions on page two. Read the asterisk reference attached to the selected option instead of treating both routes as having one universal signer. Source 1.
- THIRD or FOURTH: replacement information
Use the noncommercial name-and-address section or the commercial CRA-number-and-name section as appropriate. Do not put a commercial agent's street address in place of its requested public number. Check the spelling and number together so the intended listing is identifiable. Source 1.
- FIFTH: consent affirmation
The form states that the listed clerk or registered agent consented under the cited Title 5 provisions. It does not present a separate incoming-agent consent signature line for a new LLC appointment. The LLC's authorized signer must be able to make that affirmation truthfully. Source 1.
- SIXTH through EIGHTH: entity-specific additions
SIXTH is for domestic business corporations only; SEVENTH asks foreign entities for jurisdiction and Maine authorization date. EIGHTH addresses a signing partner or general partner that is itself an entity. An LLC filer should not invent corporate or partnership answers simply because those sections appear on the shared form. Source 1.
- Execution and cover letter
Date the statement and supply an original written signature, printed name and title. A new LLC appointment is signed by a duly authorized person. Complete the customer contact cover letter, including the return address for the attested copy and a usable contact name and telephone number or email. Source 1.
Submit the change to Maine Secretary of State, Division of Corporations, UCC and Commissions
- Mail the complete signed packet
The inspected form directs submission to the Division of Corporations, UCC and Commissions. Its customer cover letter distinguishes the US Postal Service address from the FedEx/UPS address. Select the destination for the carrier actually used and include the completed statement, cover letter and required payment. Source 1.
- Use the cover letter for return handling
The cover letter provides an option to hold the attested copy for pickup in Augusta. It also warns that failing to provide a contact name and telephone number or email results in erroneous filings being returned. These are documented packet instructions, not a promise about processing speed or an online interface. Source 1.
When the change takes effect
Under 5 M.R.S. section 108(4), a statement of change takes effect on filing.
Before you submit
Do not substitute a street address for a commercial agent's CRA identification or confuse a replacement appointment with the existing agent updating its own information.
Verify the change and finish the transition
- Distinguish filing from sending
Title 5 section 108(4) says a statement of change takes effect on filing. Keep the attested copy and its filing evidence; the date the packet was mailed is not the statutory event described by that provision. Compare the filed result with the selected appointment route. Source 2.
- Reconcile the commercial or noncommercial result
Practical guidance. For a commercial appointment, compare the CRA name and public number with the agreed provider. For a noncommercial appointment, compare physical and mailing addresses separately. Keep the consent agreement with the accepted filing so the next administrator can understand the basis for FIFTH's affirmation.
- Retain control of reminders and notices
Practical guidance. Check who will monitor the cover letter's filing-contact and annual-report-reminder destinations after the change. Preserve pending correspondence from the outgoing agent before ending access. This is an internal handoff check; do not treat the agent statement as evidence that every unrelated business contact has been amended.
Avoid these Maine filing mistakes
- Calling a domestic LLC appointee its clerk
The shared title includes clerk because Maine domestic business corporations use that role. For this LLC guide, use registered agent and the LLC authorized-person instruction. A corporate clerk's authorization section is not a reason to apply corporate governance language to every LLC appointment. Source 1.
- Confusing paid service with CRA status
FOURTH requests a commercial agent's actual CRA public number and name. If that status has not been confirmed, obtain it rather than guessing a number or using the represented LLC's charter number. Use THIRD when the appointment is noncommercial. Source 1.
- Applying the replacement signature to existing-agent maintenance
FIRST cross-references different signing rules for a new appointee and an existing appointee's information change. Recheck that choice before signature collection. The existing clerk or agent signs the information-maintenance route; an LLC's duly authorized person signs its new appointment. Source 1.
Questions about changing your registered agent in Maine
Does Maine require a separate signed acceptance for a new LLC agent?
The inspected CLK/RA 3 contains an affirmation that the appointee consented, and Title 5 section 108 treats appointment as that affirmation. A new LLC appointment is signed by a duly authorized person for the LLC. Obtain consent first; the form does not add a separate incoming-agent signature line. Source 1.
What extra information does a foreign LLC supply?
SEVENTH requires its jurisdiction of incorporation or organization and the date it was authorized to transact business in Maine. Prepare those from the existing Maine registration. That is additional information on the change statement, not an instruction to file a new foreign qualification. Source 1.
Must Maine LLC members approve the agent-change statement?
Title 5 section 108(2) says domestic entity interest holders or governors need not approve this filing, except for a corporation formed under Title 13-C. The corporate exception explains why CLK/RA 3 has a domestic business corporation authorization section that an LLC does not complete. Source 2.
Which Maine address should a courier packet use?
The customer contact cover letter supplies separate USPS and FedEx/UPS destinations. Use the carrier-appropriate address in the current packet rather than treating the State House Station mailing address as a universal street delivery address. Also specify where the attested copy should be returned. Source 1.
