Choose the right Missouri filing
Missouri's Corp. 59 is an entity-filed statement with two separate signatures to plan: the new agent's consent and the represented company's authorization. The January 2025 statement allows an originally executed written consent instead of the agent signing directly, and the June 2026 RAC-1 supplies different acceptance language for an individual or organization. Use the actual before-and-after office fields and the identical-address certification, not just a letter saying the old provider has been cancelled.

Which route fits your registered agent change?
- Replace an LLC's registered agent
Corp. 59 expressly covers foreign and domestic LLCs as well as profit and nonprofit corporations. Identify the existing Missouri entity and the current agent, then name the replacement in item 5. Apply the represented entity's appropriate authorization signature rather than assuming the incoming agent's consent completes the company filing. Source 1.
- Change the office alone or with the agent
The statement's instructions allow either or both the agent's name and the address of the existing agent to change. Use the current and new registered-office fields to show the intended result. An agent's continuing appointment should not be described as a replacement merely because its physical office moved. Source 1.
- Choose direct or attached incoming consent
Item 5 permits the new agent's authorized signature directly on Corp. 59 or a separate originally executed written consent attached to it. If using RAC-1 for the attachment, select the individual or organization section that describes the actual appointee, not the represented LLC's entity type. Source 1.
Prepare for the change in Missouri
- Retrieve the charter number and present record
Prepare the Missouri charter number, exact company name, present registered-office street address and current registered agent. The form asks for the before-change office and agent separately. Use current filing evidence rather than assuming an old formation copy still reflects the latest appointment. Source 1.
- Obtain a Missouri physical office
The instructions require the agent and address to be in Missouri. A PO box can accompany a physical street address but cannot replace it. Reconcile the new registered office with the agent's business office because item 6 certifies that the two addresses, as changed, will be identical. Source 1.
- Coordinate the correct consent signer
For an individual, RAC-1 has the agent acknowledge Missouri residence and responsibility for receiving and forwarding process. For an organization, an authorized person identifies the organization and confirms its Missouri registration or authorization. Keep the represented company's name distinct from the agent organization's name. Source 2.
- Assign company execution and return address
Item 7 states that the company authorized the change and requests the authorized signature, printed name, title and date. The form separately requests the name and address for return of the filed document. Decide both before circulation so the final evidence reaches someone managing the transition. Source 1.
Consent and acceptance
Corp. 59 requires the new agent's authorized signature or an attached originally executed written consent. The June 2026 RAC-1 consent form accommodates both an individual and an organization acting through an authorized person.
Entity-type differences
Corp. 59 expressly covers foreign and domestic profit and nonprofit corporations and LLCs. The entity-authorization signature depends on entity type. Corp. 59A is for an agent's own office-address change, not the entity replacing its agent.
Complete the Missouri change filing
Enter the charter number, entity name, present registered office and current registered agent.
Enter the new agent and any changed Missouri registered-office address. A PO box may accompany, but not replace, a physical street address.
Have the incoming agent sign the consent line or attach an originally executed written consent. The state's RAC-1 provides separate individual and organization consent sections.
Have the appropriate officer, member, manager or other listed authorized signer certify that the entity authorized the change.
Submit the completed statement to the Corporations Division as instructed, supply the return address, and retain the filed copy.

Form fields and statement requirements
- Charter number and item 1: represented company
Enter the charter number and business-entity name for the record being changed. Do not put the incoming agent organization's charter number here. When the same provider handles several affiliated LLCs, prepare one unambiguous company instruction and packet for each intended change. Source 1.
- Items 2 and 3: present and new office
Item 2 identifies the present registered office before the change; item 3 describes the resulting registered office. Include street and number and the city, state and ZIP. If a PO box is included, retain the physical street address as the form expressly requires. Source 1.
- Items 4 and 5: current and new agent
Name the current agent in item 4 and the replacement in item 5. Obtain the new agent's authorized signature at item 5 or attach its originally executed written consent. A typed name in the appointment field does not itself complete either consent method. Source 1.
- Item 6: identical business-office and registered-office addresses
This is a substantive statement about the final arrangement, not an extra mailing preference. Confirm the incoming agent's business-office location matches the company's registered office. A correctly signed consent does not make conflicting address entries consistent. Source 1.
- Item 7 and return block: authorization and delivery
The company's authorized signer affirms the change was duly authorized and the facts are true and correct, with false statements subject to the cited Missouri penalties. Supply printed name, title and date, then complete the filed-document return name and address. The return block does not change the registered office. Source 1.
Submit the change to Missouri Secretary of State, Corporations Division
- Published Corporations Division packet
The inspected Corp. 59 identifies the Corporations Division and its postal and street destinations. Submit the completed signed statement, direct or attached incoming-agent consent and required state payment under the current instructions. Keep the entire packet, not only an unsigned form with the attachment omitted. Source 1.
- Do not invent a current portal sequence
The inspected one-page statement and RAC-1 establish the substantive fields and consent options, but do not reproduce an authenticated electronic filing workflow. If using an online transaction, follow its current execution and submission instructions rather than treating this paper checklist as evidence of specific screen controls. Source 1.
Before you submit
The agent and office must be in Missouri, and the agent's business office must match the registered office. Do not send an unsigned consent merely because the entity's representative signed the statement.
Verify the change and finish the transition
- Retain the returned filed document
Corp. 59 requests an address for returning the filed document. Preserve that result and compare the charter number, agent name and office with the instruction. A mailing receipt or payment record is useful administration but is not the same practical evidence as the state's filed copy. Source 1.
- Preserve consent in the same record
Practical guidance. Where an attached consent was used, store it with the signed change statement and filed evidence. Keep the organization-agent representative's authority and identity understandable. Otherwise a future reviewer may find an empty direct-consent line without the attachment that explains how the requirement was met.
- Confirm forwarding responsibilities during handoff
RAC-1 expressly describes receiving process, notices or demands and forwarding them to the represented entity, with notification and a filed resignation if the agent resigns. Give the incoming provider working contact instructions and reconcile notices held by the outgoing provider rather than assuming the state change forwards existing documents. Source 2.
Avoid these Missouri filing mistakes
- Using the represented LLC's status to choose RAC-1
RAC-1's individual and organization sections describe the agent. An LLC can appoint an individual or an organization, so choose by the appointee's status. For an organization, identify its name and have a person authorized to act for it sign and print their name. Source 2.
- Attaching an unexecuted consent
Corp. 59 permits an originally executed written consent instead of the new agent's on-form signature. A blank template, unsigned service proposal or typed provider name does not follow that stated alternative. Obtain the executed consent before submitting the company statement. Source 1.
- Confusing return mail with registered-office location
The form has a separate return-document block and an explicit physical-office requirement. An administrator's mailing address can receive the filed evidence without becoming the registered office. Keep that convenience address out of the office field unless it independently satisfies the actual appointment arrangement. Source 1.
Questions about changing your registered agent in Missouri
Can Missouri's new agent consent on a separate document?
Yes. Corp. 59 permits an attached originally executed written consent instead of the new agent's signature on the statement. The state's June 2026 RAC-1 offers individual and organization acceptance sections. Attach the executed consent to the company filing and retain it with the filed record. Source 1.
Does an organization serving as Missouri agent need a representative to sign?
RAC-1's organization section is signed by a person authorized to act for the named agent organization, with that person's printed name and date. It also identifies the represented entity separately. Do not replace the organization appointee's name with the individual representative's name in the agent designation. Source 2.
Can a Missouri registered office include a PO box?
The instructions allow a PO box only in conjunction with a physical street address. It cannot replace the physical location. The agent and office must be in Missouri, and the form states that the agent's business-office and registered-office addresses, as changed, will be identical. Source 1.
Does the new agent's signature also authorize the company's change?
Not by itself. Corp. 59 separates the incoming agent's consent in item 5 from the company's authorization and truthfulness affirmation in item 7. Complete both roles using the appropriate authorized signers, even if one individual happens to be able to act in more than one capacity. Source 1.
