Choose the right Montana filing

Montana's July 2026 official help article gives a precise starting route: open the business record, choose Filing Actions, and use Registered Agent/Office Change by Entity. The substantive rules come from the Model Registered Agents Act, not an LLC formation form. That distinction lets an existing company change its appointment without forming again, while requiring a truthful affirmation that the incoming agent already consented. Commercial versus noncommercial status determines the statutory identifying information to prepare.

Procedure scope
Entity-filed registered-agent change for a Montana domestic LLC under the Model Registered Agents Act.

Which route fits your registered agent change?

Entity replaces its registered agent

Use Registered Agent/Office Change by Entity on the existing business record. Section 35-7-108 calls for a statement signed on behalf of the represented entity, identifying the entity and the information to take effect. This is the direct route for the LLC choosing a different provider. Source 3.

Determine commercial or noncommercial appointment

Section 35-7-105 requires the commercial agent's name, or the noncommercial agent's name and address when the entity has no commercial agent. Confirm the actual appointment category before preparing the resulting information. A provider's marketing description is not a substitute for its legal filing identity. Source 2.

Alternative amendment of the most recent agent filing

Section 35-7-108(5) permits changing the information by amending the most recent agent filing under other applicable Montana amendment law. The dedicated entity-change transaction remains the published operational route. Do not assume this alternative requires a new LLC formation or makes an agent's own maintenance filing interchangeable with a replacement. Source 3.

Prepare for the change in Montana

Find the business name or folder ID

The official help article allows a search by name or folder ID after signing in. Gather the correct identifying details first, especially where affiliates have similar names. Click the intended business's name to open its record before starting the filing action. Source 1.

Obtain the replacement's consent first

Section 35-7-108(3) makes appointment through the statement an affirmation that the agent consented to serve. Resolve consent before signing the change, not after seeing a submission confirmation. Keep the provider agreement or other evidence internally so the basis for that affirmation remains available. Source 3.

Prepare the statutory identifying information

For a commercial agent, obtain its exact listed name. For a noncommercial agent, prepare its name and address under section 35-7-105. Ask the appointee for the identity it authorizes for filing rather than using an invoice label, an employee name or an old appointment's address. Source 2.

Assign an entity signer and transition contact

The statement is signed on behalf of the entity. Decide who is acting for the LLC and provide the incoming agent with a usable internal escalation contact. The contact handoff is practical preparation separate from the statement's statutory name-and-resulting-information elements. Source 3.

Entity-type differences

Section 35-7-108 is the represented-entity change procedure rather than an LLC-only formation provision. For an existing foreign LLC or corporation, select its Montana registration record and the applicable entity filing. Do not use an agent's own name-or-address change procedure to appoint a replacement.

Complete the Montana change filing

  1. Arrange the replacement agent's consent and prepare the new information to be shown on the state record.

  2. Sign in to the Montana business filing portal and search by business name or folder ID.

  3. Click the business name to open its record, then select Filing Actions in the right-hand slide-out bar.

  4. Select Registered Agent/Office Change by Entity, enter the replacement information, and complete the filing signed on behalf of the entity.

  5. Retain the filed statement and verify the agent information on the business record.

Open the official filing instructions or transaction. Read the primary sources below alongside these steps.

Form fields and statement requirements

Represented entity name

Section 35-7-108(1)(a) requires the entity's name. Confirm that the opened business record belongs to the LLC being changed, not the incoming agent's own business record. A portfolio provider change should be reconciled entity by entity rather than assuming one company filing covers all affiliates. Source 3.

Information to be in effect

Section 35-7-108(1)(b) asks for the information that will be effective as a result of filing. Prepare the actual intended appointment rather than merely explaining that the former service was cancelled. Read the resulting agent identification and any address information together before execution. Source 3.

Commercial-agent name

The appointment statute permits identification by the represented entity's commercial registered-agent name. Use the correct agent identity, not the represented LLC's name or a staff member's personal name. The inspected statute does not establish a universal commercial-agent-number field, so this guide does not invent one. Source 2.

Noncommercial-agent name and address

When the entity does not have a commercial agent, the statute requires the noncommercial agent's name and address. Verify these directly with the appointee. The reviewed sources establish the statutory elements, not a complete authenticated screen layout or every address-validation rule applied by the portal. Source 2.

Execution and consent affirmation

The statement is signed for the entity and its new appointment affirms consent. Section 35-7-108 does not require a separate incoming-agent-signed consent attachment. Follow any current transaction execution instructions, but do not invent a notarization or agent-signature requirement from another state's paper form. Source 3.

Published current portal navigation

Visit the Montana business filing portal and sign in with the user profile. Search the business by name or folder ID, click its name, then choose Filing Actions in the right-hand slide-out bar. The July 2026 help article then directs the filer to Registered Agent/Office Change by Entity. Source 1.

Follow the current action beyond the published entry point

The public article confirms how to start the action but does not reproduce all authenticated filing screens, signature controls or a paper alternative. Use the current transaction for execution and submission. The statutory rows above describe required content without pretending the private screen sequence was inspected. Source 1.

When the change takes effect

Under Montana Code 35-7-108(4), the statement of change takes effect on filing.

Before you submit

The current official help article calls this action Registered Agent/Office Change by Entity. Follow the current portal label rather than relying on an older ePass-era form name.

Verify the change and finish the transition

Use filing as the effectiveness milestone

Section 35-7-108(4) says the statement takes effect on filing. Keep the filed statement and its evidence rather than relying on the date an internal request was sent or the provider agreement signed. A prepared draft does not establish that the state appointment changed. Source 3.

Understand state notice to the agent

Section 35-7-105 requires the Secretary of State to notify the agent as soon as practicable of filings containing its name, with a list available for at least 14 calendar days showing filing type and represented entity. That notice mechanism does not remove the company's prior-consent affirmation. Source 2.

Reconcile the accepted record and handoff

Practical guidance. Compare the resulting public agent information with the intended commercial name or noncommercial name and address. Give the incoming agent the accepted record and reconcile pending notices with the outgoing provider. Review other-state and business-contact records separately before treating a portfolio transition as complete.

Avoid these Montana filing mistakes

Looking for an old filing name instead of the current action

The current help article explicitly names Registered Agent/Office Change by Entity and locates it under Filing Actions on the business record. Use that published route rather than assuming an older ePass-era label or a formation workflow describes the current replacement transaction. Source 1.

Treating state notice as a request for permission

The appointment itself affirms that the agent consented. The state's subsequent notification process is not a substitute for obtaining that consent. Arrange the appointment first so the company is not relying on a newly named agent to discover and negotiate the relationship later. Source 3.

Calling the 14-day notice-list period a processing deadline

Section 35-7-105 describes how long the agent-notification list must be available, not how quickly the company amendment will be reviewed or accepted. Do not use that period as a filing SLA or an automatic delay before effectiveness; section 108 says the change takes effect on filing. Source 2.

Questions about changing your registered agent in Montana

Do Montana LLC members need to approve this registered-agent statement?

Section 35-7-108(2) says the interest holders or governors of a domestic entity need not approve this statement or a similar filing changing an agent or office in another jurisdiction. The statement still must be signed on behalf of the entity and truthfully affirm the incoming agent's consent. Source 3.

Does the Montana replacement agent have to sign a separate acceptance?

The cited change statute treats appointment as the represented entity's affirmation of consent and does not require a separate incoming-agent-signed attachment. Obtain actual consent before filing and follow the current portal's execution instructions. Do not infer notarization or attachment requirements from a different jurisdiction. Source 3.

What information differs for commercial and noncommercial Montana agents?

Section 35-7-105 identifies a commercial agent by name. Where the entity has no commercial agent, it requires the noncommercial agent's name and address. Confirm the agent's category and authorized identity before starting the entity change rather than assuming all providers use the same statutory identification. Source 2.

Where is the current Montana change action?

The July 2026 help article says to sign in, search by business name or folder ID, click the business name and choose Filing Actions in the right-hand slide-out bar. Select Registered Agent/Office Change by Entity there. The article does not reproduce every later authenticated screen. Source 1.
