Choose the right Nebraska filing
Nebraska's domestic LLC change statement can update three related but distinct records: the designated office, the registered agent and the agent's address. It is not necessary to replace an agent merely because its address changes, and moving the LLC's own office does not tell the state that a different person will receive process. Start by comparing the current record with the arrangement you actually want. The official form asks for all current information before the changed items, so a replacement-agent transaction is not just a new name on an otherwise blank sheet.
- Procedure scope
- A Nebraska domestic LLC changing its designated office, registered agent or registered agent's address.
- Form or online transaction

Which route fits your registered agent change?
- Replace the agent for a domestic LLC
Use the domestic LLC Statement of Change and mark Registered Agent under New. If the replacement serves at a different address, also mark Agent's Address and provide that location. The same statement accommodates both changes; entering a designated-office address alone does not identify the replacement agent. Source 3.
- Keep the agent but update an office
The New section has separate choices for Designated Office and Agent's Address. Select the item actually changing rather than replacing the agent's name to communicate a move. Complete all current information first, even when only one of the new-information choices applies. Source 3.
- Choose the form by entity type
Nebraska directs filers to the change statement for their business type, not a universal business amendment. A foreign LLC or corporation should use its own form from the official directory. Partnerships, series LLCs and limited cooperative associations are expressly outside Corporate Document eDelivery and receive separate mail instructions. Source 1.
Prepare for the change in Nebraska
- Capture the current record
Gather the exact LLC name, designated office, agent name and agent address before filling in New. The form expressly requests all current information. Using your operating address from a bank statement in place of the recorded designated office can make the old and new information describe different things. Source 3.
- Check the incoming agent's eligibility
The Secretary of State permits an individual residing in Nebraska, including a business member, or another business entity authorized to transact business in Nebraska. Its guidance also requires the agent's office to be identical to the registered office. Confirm those facts before preparing a replacement appointment. Source 1.
- Arrange execution before upload
The domestic LLC form has Signature of Authorized Representative and Printed Name of Authorized Representative fields. Identify the person who can sign for the LLC. The upload is the delivery step for a completed, signed document, not a replacement for execution of that document. Source 3.
- Plan notice continuity
Practical guidance. Give the incoming agent a reliable internal recipient and agree how documents already held by the outgoing agent will be forwarded. Keep the existing arrangement working while the filing is reviewed. A short written handover list is more useful than assuming the state's database will transfer pending correspondence.
Consent and acceptance
Arrange the incoming agent's agreement before naming it. The reviewed domestic LLC form calls for the authorized representative's signature, not a separate incoming-agent acceptance attachment.
Entity-type differences
Foreign LLCs use the separate Statement of Change of Principal Office, Registered Agent and/or Registered Agent's Address. Domestic, foreign and nonprofit corporations have their own change forms. The Secretary of State excludes partnerships, series LLCs and limited cooperative associations from eDelivery and directs those filings by mail.
Complete the Nebraska change filing
Confirm the incoming agent resides in Nebraska or is an entity authorized to transact business in Nebraska; the agent's office must be identical to the registered office.
Enter the LLC's exact name and all current designated-office and agent information on the domestic LLC Statement of Change.
Check each item being changed and enter the replacement information. Complete the effective-date field only if requesting a date other than the filing date.
Have an authorized representative sign and print their name, then save or scan the completed document as a PDF.
Upload the signed PDF through Corporate Document eDelivery. Keep the submission confirmation and the later approval email; submission is subject to review.
Open the official filing instructions or transaction. Read the primary sources below alongside these steps.
Form fields and statement requirements
- Name of Limited Liability Company
Identify the existing LLC, including its legal ending. This is a statement about that entity's office and agent, not a request to rename it. Keep the name consistent across the statement and any filing account used to deliver it. Source 3.
- Current information
The Current block contains Designated Office, Registered Agent and Agent's Address. The designated-office line requests street and mailing address; the agent-address line requests street address and any post office box number. Preserve those categories rather than entering a box number as the entire physical location. Source 3.
- New information and check marks
Check the items changing and supply the replacement details next to them. For example, replacing an individual at the same location changes the agent name; replacing a provider at another location normally requires both agent and address entries. Check the resulting record as a whole before signing. Source 3.
- Effective date and representative
The form provides Effective date if other than the date filed. Do not insert the date you happened to download the form as a routine completion step. Finish with the authorized representative's signature and printed name; the reviewed form does not have a separate incoming-agent signature line. Source 3.
Submit the change to Nebraska Secretary of State, Business Services
- Upload the signed PDF through eDelivery
The Secretary of State's published sequence is to complete the entity-specific fillable form, obtain an authorized signature, save or scan it as a PDF and submit it through Corporate Document eDelivery. Its guidance specifically requires PDF format. Follow the current service's submission instructions rather than sending an editable draft. Source 1.
- Separate submission from review
eDelivery sends a successful-submission confirmation, after which the Secretary of State reviews the document and sends an approval email. Keep both messages. The initial confirmation establishes that something was submitted, not that every requested change was accepted. Source 1.
When the change takes effect
The domestic LLC form allows an effective date other than the date filed. An eDelivery submission confirmation is not an approval notice.
Before you submit
Do not use the domestic LLC form for a foreign LLC or mistake an upload receipt for an approved change. Keep the former and incoming agent informed while the filing is reviewed.
Verify the change and finish the transition
- Save the approval with the filed statement
Keep the signed document and the approval notice together so another manager can distinguish the submitted version from any corrected version. Nebraska expressly describes approval as a later step after submission. Investigate a pending review rather than treating silence as acceptance. Source 1.
- Reconcile every changed category
Practical guidance. Compare the recorded agent name, agent address and designated office with your marked changes. If only two categories were intended to change, check that the third still contains the expected information. This catches an office-only update that accidentally left the outgoing agent in place.
- Restore the reminder chain
Nebraska explains that recurring-report notifications go to the registered agent and that incorrect agent information can interrupt them. After approval, make sure the incoming agent has the LLC's current compliance contact, not merely the name of the person who signed the statement. Source 1.
Avoid these Nebraska filing mistakes
- Using an LLC form for another entity
Return to the official entity-type directory before preparing the packet. Nebraska's change procedure explicitly starts with the appropriate business type, and eDelivery's exclusions mean a route suitable for an ordinary domestic LLC is not universal. Source 1.
- Leaving Current blank
Do not treat the form as a replacement-agent acceptance slip. Its instruction is to complete all current information and then check the items changing. Supply the baseline record even when the reason for filing seems obvious from the new agent's name. Source 3.
- Closing the old arrangement on upload
Practical guidance. Wait until you have the reviewed result and have reconciled any requested effective date before deciding the transition is complete. Arrange temporary forwarding directly with the providers; a submitted PDF cannot by itself move documents already delivered to the former agent.
Questions about changing your registered agent in Nebraska
Can a member of the LLC serve as the Nebraska agent?
The Secretary of State allows a member or designated third party who resides in Nebraska to serve. Another business entity may serve if authorized to transact business in Nebraska. The agent's office must be identical to the registered office. Source 1.
Must the replacement agent sign this domestic LLC form?
The reviewed form calls for an authorized representative's signature and printed name, not an incoming-agent acceptance signature. Arrange the agent's agreement separately; do not leave the LLC execution incomplete merely because the agent has agreed to the engagement. Source 3.
Can one statement change both the agent and its address?
Yes. The New section provides separate checked items for the registered agent and agent's address, as well as the designated office. Mark each change and complete all current information above them. Source 3.
What does the first eDelivery email prove?
It confirms successful submission. Nebraska says the document is reviewed afterward and approval is communicated by email. Keep the later approval rather than using the submission message as the final filing record. Source 1.
