Nebraska Registered Agent Service

Yes. Every Nebraska LLC must designate and continuously maintain a designated office in Nebraska and a registered agent for service of process, and the agent’s office must be identical to the registered office. Nebraska is one of the few states that still makes you publish: notice of organization runs three successive weeks in a legal newspaper near your designated office, and proof of publication is filed with the Secretary of State.

Nebraska registered agent requirements

The rule

Governing statute: Neb. Rev. Stat. § 21-113 (designated office and agent for service of process) and § 21-114 (statement of change); publication at § 21-193; LLC biennial report at § 21-125

An LLC must designate and continuously maintain in Nebraska an office, which need not be a place of its activity, and an agent for service of process. The agent is an individual resident of Nebraska or another person with authority to transact business here, and the registered agent’s office must be identical to the registered office.

The agent has to be findable at that Nebraska address to accept service of process and to pass on the Secretary of State’s filing notices — the state’s own warning is that if you never see the notices your agent receives, you miss the deadlines.

If you have no agent

Failure to maintain a registered agent can result in the administrative dissolution of your business, and missed filing notices sent to an agent who never forwards them take you the same way.

Nebraska specific: Nebraska still has a newspaper publication requirement: notice of organization must be published three successive weeks in a legal newspaper of general circulation near the LLC’s designated office, and proof of publication filed with the Secretary of State. Nebraska also reports biennially on a split calendar — LLCs file between January 1 and April 1 of odd-numbered years, corporations by March 1 of even-numbered years — so the entity type, not your formation date, sets the deadline.

Can you be your own registered agent in Nebraska?

Yes, if you are a Nebraska resident and your office is identical to the LLC’s registered office. The address is public and has to be somewhere service and the Secretary of State’s notices land — Nebraska’s own guidance is blunt that an agent who does not forward filing notices is how businesses end up administratively dissolved. And your notice of organization gets published in a newspaper near that office regardless, so the address is not private either way. The full guide: Can you be your own registered agent?

As your own registered agent, the street address you list is the one that appears on Nebraska's public record.

Should you even hire a registered agent?

If you live in Nebraska, keep regular hours at a fixed address, and run one entity, you may not need us, and we will tell you so. A service earns its keep when you value privacy, travel, run more than one entity, or operate across state lines.

Nebraska registered agent FAQ

Do I need a registered agent in Nebraska?

Yes. Under Neb. Rev. Stat. § 21-113 every Nebraska LLC must designate and continuously maintain an office in the state and an agent for service of process, and the agent’s office must be identical to the registered office. The agent is an individual resident of Nebraska or another person with authority to transact business here.

Can I be my own registered agent in Nebraska?

Yes, if you are a Nebraska resident and your office is identical to the LLC’s registered office. Does Nebraska require newspaper publication for an LLC?

Yes. Neb. Rev. Stat. § 21-193 requires notice of organization to be published three successive weeks in a legal newspaper of general circulation near the LLC’s designated office, with proof of publication filed with the Secretary of State. Amendments, mergers, conversions and domestications must be published the same way. Newspaper charges vary by county.

How do I change my registered agent in Nebraska?

File the Statement of Change of Designated Office, Registered Agent and/or Registered Agent’s Address for your entity type. Complete the fillable PDF, have an authorized individual sign it, and submit it with the state fee through Corporate Document eDelivery. Partnerships, series LLCs and limited cooperative associations must mail it instead. Any state fee is confirmed with you first.
