How to change your registered agent in Oregon

Use the Oregon Business Registry's Information Change filing or the signed Corporation/Limited Liability Company Information Change form to replace an agent. The new agent must consent and have an Oregon physical office. When the same agent moves its own business office, a separate statutory agent-initiated procedure requires written notice to the LLC and the agent's signed statement.

Choose the right Oregon filing

Oregon distinguishes an LLC replacing its agent from the same agent moving its own business office. The LLC's Information Change needs authorized execution and the new agent's consent; the agent-initiated address procedure separately requires the agent to sign and state that the LLC was notified in writing. The registered office must match the agent's business-office street address. These are not instructions to replace the principal office or mailing address whenever the agent changes. Official hosts did not resolve directly during review, so the procedural detail below is grounded in indexed official form, instruction and statutory content.

Procedure scope
An Oregon domestic LLC updating its registered agent or registered office through the Information Change filing.

Which route fits your registered agent change?

LLC appoints a replacement

Use the Corporation/Limited Liability Company Information Change route. ORS 63.114(1) requires the LLC name, new office address if changing, new agent name and statement of consent if changing, and an identical-street-address statement. A provider agreement alone is not the LLC's filed statement of change. Source 5.

Same agent moves its business office

Under ORS 63.114(2), the existing agent notifies the LLC in writing, signs the statement manually or by facsimile, and delivers it for filing. The statement must comply with the statutory content and say the LLC was notified. Do not generalize this notice recital into every LLC-initiated replacement. Source 5.

Other records and entity types

The published Information Change covers corporations and LLCs and contains separate principal-office, mailing, officer and LLC member or manager categories. Complete only the information changing. For a foreign registration, work against the Oregon record rather than assuming a home-state agent update changes the Oregon appointment. Source 3.

Prepare for the change in Oregon

Find the registry number and legal name

Use the registry number to identify the existing Oregon business and match the legal name before preparing the Information Change. The form is an update to that record, not a request to rename or form the LLC. Keep a copy of the present record for comparison. Source 3.

Obtain consent and the actual Oregon office

The new agent must consent. Oregon's guidance requires a physical street address where the agent maintains a business office and can accept or sign for legal service. Do not choose an address merely because it receives ordinary mail or appears to be an Oregon street address. Source 2.

Keep address functions separate

The Information Change includes principal place of business, agent address and mailing information. Decide which actually change and obtain permission before using a provider's address for any additional purpose. The state form's separation of those categories is not permission to use the agent office for every business contact. Source 3.

Arrange authorized execution

The current Information Change has an execution declaration requiring an authorized signer's signature, printed name and title. Read that declaration before signing and use a person with authority for the LLC. The new agent's consent and the LLC's authorized execution are related but different functions. Source 4.

For an agent's own move, retain written notice

If relying on ORS 63.114(2), arrange the agent's written notice to the LLC and its signature on the filed statement. The statement must recite that notice was given. Keep that evidence distinct from a replacement appointment for a different legal agent. Source 5.

Entity-type differences

The Information Change route covers corporations and LLCs; use the Oregon record for an authorized foreign LLC or corporation rather than updating only the home-state filing. The registered agent is not automatically the principal office, mailing address, owner or manager. The entity cannot designate itself as its own registered agent.

Complete the Oregon change filing

  1. Arrange the incoming agent's consent and confirm its Oregon physical registered-office address before naming it.

  2. Sign in to the Oregon Business Registry, choose Information Change and enter the business registry number, or obtain the paper Corporation/Limited Liability Company Information Change form.

  3. Identify the existing LLC and enter the changed registered-agent and registered-office information without overwriting unrelated business addresses by mistake.

  4. Execute the LLC's Information Change through an authorized signer and submit through the online service or current paper-delivery instructions; email is not a filing method. If the same agent is updating its own business-office address under ORS 63.114(2), the agent signs and states that the LLC was notified in writing.

  5. Retain the confirmation and inspect the updated business record for the correct agent name and Oregon street address.

Form fields and statement requirements

Registry identification and changed sections

Identify the existing business by name and registry number and complete the sections changing. The published form includes more than agent information, so do not fill every blank with the new provider's details. Review unchanged officer, member and manager categories before delivering the document. Source 3.

Registered agent changed to

Enter the legal agent name for an actual replacement. Confirm the agent consented and that it is the intended person or organization, not merely a provider employee. The entity cannot designate itself as its own registered agent under the Secretary of State's guidance. Source 2.

Registered agent's publicly available address

Supply the physical Oregon street address for the agent's business office. ORS 63.114 requires the registered office and agent's business-office street addresses to be identical after the change. Do not substitute the preparer's return address or an unrelated principal-office address. Source 5.

Execution and notice recital where applicable

Complete the authorized-signer declaration on the Information Change. If the same agent is filing its own office move under ORS 63.114(2), that statutory procedure specifically requires the agent's signature and statement that the LLC was notified. The latter is not a universal replacement-agent attachment requirement. Source 5.

The official update guidance identifies Information Change in the Oregon Business Registry and use of the registry number. Use the correct existing business record and complete the service's execution requirements. Signed paper Information Change

The office also publishes the Corporation/Limited Liability Company Information Change form and delivery instructions. Submit a completed signed statement through the currently accepted paper-delivery route. The update guidance does not accept email filing; sending a scanned form by ordinary email is not the published substitute for submission. Source 1.

When the change takes effect

ORS 63.114(3) states that filing the statement terminates the existing office or agent and establishes the replacement on the effective date of the filing.

Before you submit

Official update and agent guidance was read through indexed official content because Oregon's hosts did not resolve during direct retrieval. Confirm the current form and delivery instructions before submission; do not use email as a filing method.

Verify the change and finish the transition

Use the filing's effective date

ORS 63.114(3) states that the filing terminates the existing agent or office and establishes the replacement on the effective date of the filing. Keep the filed statement and effective-date evidence. Do not use the date you first spoke with the provider as the public-record change date. Source 5.

Inspect the publicly available record

Practical guidance. Compare the legal agent and physical address with the intended appointment, and check that unrelated principal-office or mailing details were not overwritten. Retain the accepted version and explain which sections were deliberately unchanged. A submission acknowledgment alone does not establish that every proposed entry was recorded.

Test the internal handoff

Practical guidance. Give the new agent a current forwarding contact and ask the former agent about pending documents. If the same agent moved, confirm it has reconciled the LLC's record with the new location. Keep contract cancellation and other-agency address changes separate from the Oregon filing record.

Avoid these Oregon filing mistakes

Treating consent as an unsigned filing

The published Information Change requires an authorized execution declaration. Obtain the incoming agent's consent, but also complete the LLC's signed filing. Agreement to serve does not replace the form's execution requirement. Source 4.

Applying the agent-move rule to every replacement

ORS 63.114(2)'s written notice, agent signature and notice recital address the same agent changing its own business-office address. A replacement by the LLC proceeds under subsection (1), including new-agent consent. Identify the transaction before importing the wrong statements. Source 5.

Using email as the filing channel

Follow the Registry or current paper-delivery instructions. The official update guidance does not accept filings by email. Keep a sent email as correspondence if useful, but do not describe it as a completed Information Change. Source 1.

Questions about changing your registered agent in Oregon

Who signs when the existing agent changes its own office?

ORS 63.114(2) requires that agent to notify the LLC in writing, sign the statement manually or by facsimile, and deliver it for filing with a recital that the LLC was notified. This is the agent-initiated office-move procedure. Source 5.

Does a replacement require the new agent to consent?

Yes. ORS 63.114(1) requires the new agent's name and a statement that it consented when the agent changes. The filed Information Change also requires authorized execution; consent does not make an unsigned update complete. Source 5.

Can the LLC be its own agent?

The Secretary of State's guidance says the entity cannot designate itself. The appointed person or organization must meet the Oregon agent requirements and maintain the physical office used for service. Source 2.

Does changing the agent require moving the principal office?

The Information Change separates principal-office information from registered-agent and mailing information and instructs filers to complete changed sections. Treat each category independently rather than replacing every address with the provider's office. Source 3.
