Oregon registered agent requirements
The rule
Governing statute: ORS 63.111 (LLC registered office and agent), ORS 60.111 (corporations) and ORS 63.787 (annual report)
The registered office address must be a physical street address located in Oregon where the registered agent maintains a business office and can accept or sign for legal service. A post office box or a mail forwarding business does not qualify, because process has to be physically served on a person.
The registered office is the physical street address where the registered agent is located during normal business hours, and it is also where the Corporation Division mails correspondence, renewal notices and late notices unless you give a separate mailing address.
If you have no agent
If your agent resigns or is removed, the business must designate a new one; failure to designate a new registered agent results in administrative dissolution. A registered agent who resigns must remain available to accept service for thirty days after the Corporation Division is notified, and if nobody can be served, the Secretary of State can accept service as agent for the business.
