How to change your registered office in Pennsylvania
Pennsylvania changes a registered office, not a registered agent. A domestic LLC files the Statement/Certificate of Change of Registered Office, choosing either a Pennsylvania street address or a Commercial Registered Office Provider listed in place of that address.

Pennsylvania- Jurisdiction terminology

- Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations
Choose the right Pennsylvania filing
Pennsylvania does not require a publicly designated registered agent. The state record instead identifies a registered office, which can be an actual Pennsylvania address or a Commercial Registered Office Provider, known as a CROP, listed in place of that address. The Department explicitly says a CROP is not the same as a registered agent. For a domestic LLC, changing this record uses the Statement/Certificate of Change of Registered Office. Foreign associations and some partnership types use different filings, so neither a generic agent-change form nor the domestic office statement is universal.
- Procedure scope
- Pennsylvania domestic LLCs, corporations, limited partnerships and limited liability limited partnerships changing their registered office or Commercial Registered Office Provider.
- Form or online transaction
- DSCB:15-1507/5507/8625/8825 — Statement/Certificate of Change of Registered Office
Which route fits your registered office change?
- Domestic LLC changes its own office or CROP
Use DSCB:15-1507/5507/8625/8825 and select Limited Liability Company as the domestic association type. The current and new office entries each offer an address alternative or a CROP alternative. A switch from your own address to a provider, or between providers, is expressed through those alternatives. Source 1.
- Foreign LLC or other foreign association
The domestic form expressly cannot be used by a foreign corporation, LLC, limited partnership or LLP. Its instructions direct a foreign association changing its registered office to DSCB:15-413, Amendment of Foreign Registration. Start with the Pennsylvania foreign registration rather than amending only a home-jurisdiction agent appointment. Source 1.
- Domestic corporations and limited partnerships
The same domestic office-change form covers business and nonprofit corporations, limited partnerships and limited liability limited partnerships. Corporations additionally make the paragraph 4 authorization statement. A domestic general partnership registered as an LLP uses its Statement of Amendment for principal-place-of-business changes instead. Source 1.
- Registered office is not principal place of business
The Department warns that a CROP cannot be used for filings requiring a principal place of business, such as fictitious-name registrations. Do not use the registered-office update to assume every business address can become the CROP's address. The relevant address function depends on the particular filing. Source 2.
Prepare for the change in Pennsylvania
- Determine domestic or foreign status first
Identify where the entity was formed, then check how it is registered in Pennsylvania. The domestic form's entity-type choices do not convert a foreign LLC into a domestic association. Select the correct filing before collecting signatures so the packet's operative statements match the entity. Source 1.
- Contract with the CROP before listing it
The Department says an association should enter into the CROP service contract before listing the provider and warns that listing without a contract can expose the filer to civil and criminal penalties. A name appearing in the official provider directory is not permission to use it for your association. Source 2.
- Collect the current office alternative
Obtain the address or CROP and county exactly as currently recorded. Paragraph 2 requires the existing registered office, not an operating address selected from a lease or bank record. If a provider is listed, collect the provider name rather than reconstructing the record as a street-address entry. Source 1.
- Prepare the new address or provider and county
For an address, use an actual Pennsylvania street or rural-route box address; a post office box alone is not accepted. For a CROP, obtain the correct listed name and county. The form's alternatives require choosing one, not entering both the provider and its street address in the same paragraph. Source 1.
- Arrange execution and return information
An authorized representative signs with title and date. Complete the return mailing information or provide an email for electronic return; the instructions say those addresses become part of the public filed document. Choose return details knowing they serve a different purpose from the registered-office entry. Source 1.
Consent and acceptance
There is no registered-agent acceptance to file for this registered-office change. If listing a CROP, enter into a service contract before using its address; the Department warns against listing a provider without a contract.
Entity-type differences
The domestic office-change form does not cover foreign LLCs, foreign corporations or other foreign associations: they use DSCB:15-413, Amendment of Foreign Registration. Domestic registered LLPs use their Statement of Amendment for principal-place-of-business changes. A CROP is expressly not the same thing as a registered agent.
Complete the Pennsylvania change filing
Decide whether the new registered office is a Pennsylvania street or rural-route address or a Commercial Registered Office Provider. Enter into the provider contract before listing a CROP.
Select the domestic entity type and enter the association's exact name as recorded by the Department of State.
Enter the current registered office address or current CROP and county, completing only one alternative for that field.
Enter the replacement Pennsylvania address or CROP and county, again choosing only one alternative. For a corporation, include the required board or other governing-body authorization statement.
Have an authorized representative sign with their title and complete return instructions. Submit through the online service identified by the form or mail the completed filing as instructed, and retain the filed record.

Form fields and statement requirements
- Domestic association type and paragraph 1
Check only one association type and give the exact name shown in Department records when the statement is submitted. A domestic LLC should not select a corporate box because a provider describes the service as corporate representation. The record's legal entity type controls the selection. Source 1.
- Paragraph 2: current address OR provider
Complete part (a), the current street-address information and county, or part (b), the current CROP name and county, but not both. This entry must match what is on file at submission. It is the baseline for the change, not another place to enter the proposed provider. Source 1.
- Paragraph 3: new address OR provider
Again choose only one alternative. Enter the intended Pennsylvania address and county or the contracted CROP's name and county. The instructions say the Department must refuse a document setting forth only a post office box address; obtain a qualifying actual location if using the address alternative. Source 1.
- Paragraph 4 and authorized signature
Paragraph 4's authorization statement is for business and nonprofit corporations. If another governing body authorized the corporate change, the instructions say to modify the statement accordingly. An LLC still completes its authorized execution; it should not invent a board-of-directors resolution merely to copy the corporation statement. Source 1.
Submit the change to Pennsylvania Department of State, Bureau of Corporations and Charitable Organizations
- Online submission identified by the form
The official form states that it may be submitted online through the service it links. Use the current official entry point and the correct existing association. This confirms an online channel without claiming that authenticated workflow fields, ownership permissions or screen names were inspected. Source 1.
- Mail the executed packet
The instructions also direct the form and accompanying documents, including any necessary governmental approvals, to the Bureau's stated mailing address. Typewritten completion is preferred; handwritten completion must be legible in black or blue-black ink. Retain the complete signed packet before delivery. Source 1.
When the change takes effect
The official instructions require the domestic association to file the registered-office change or amend its organic record before the change of registered-office location becomes effective.
Before you submit
Do not call a CROP a registered agent or enter both a street address and a CROP in the same alternative field. A post office box alone is not an acceptable registered office.
Verify the change and finish the transition
- Obtain the returned filed record
If email return is selected, the instructions say the email contains a link and directions to download the filed document or correspondence. Download and preserve the actual result rather than saving only the notification. Investigate correspondence requesting correction before treating the office change as complete. Source 1.
- Establish the office change before relying on it
The instructions require filing the statement or amending the organic record before a domestic association's change of registered-office location becomes effective. Keep the filed result and check the new address or CROP and county. A provider contract is preparation for the change, not the public filing itself. Source 1.
- Separate service arrangements from public designation
The Department explains that a CROP may also be separately authorized in writing to receive process under procedural rules, but public designation of a registered agent is not required. Confirm the actual contracted document-handling arrangement instead of assuming the provider listing defines every service obligation. Source 2.
- Review other address records independently
Practical guidance. Check principal-place-of-business, licensing, tax and contractual addresses on their own terms. Keep an inventory of records reviewed and documents pending with the former provider. This practical handoff is separate from what paragraph 3 changes in the Department's registered-office record.
Avoid these Pennsylvania filing mistakes
- Calling the filing a registered-agent appointment
Use registered office and CROP terminology in the actual Pennsylvania transaction. The Department expressly says Pennsylvania does not require a registered agent and a CROP is not the same thing. A private agent acceptance certificate does not replace the office-change filing. Source 2.
- Using both alternatives in one paragraph
Choose address or CROP separately for the current and new office entries. The form says not both for each paragraph. A transition can legitimately move from an address in paragraph 2 to a CROP in paragraph 3 without filling both alternatives within either paragraph. Source 1.
- Sending a foreign LLC the domestic statement
Use Amendment of Foreign Registration, DSCB:15-413, for the foreign association described in the instructions. The fact that an LLC needs a Pennsylvania registered office does not make it eligible to select Domestic Limited Liability Company on this statement. Source 1.
Questions about changing your registered office in Pennsylvania
Is a CROP Pennsylvania's term for a registered agent?
No. The Department expressly says a CROP is not the same as a registered agent and Pennsylvania does not require public designation of a registered agent. The filed record identifies a registered office or CROP alternative. Source 2.
Can I list a provider from the directory before hiring it?
The Department says to enter into the provider service contract before listing it and warns about civil and criminal consequences of listing without a contract. Directory inclusion is not the association's permission to use the provider. Source 2.
Does a foreign LLC use the same office-change form?
No. The domestic form's instructions exclude foreign associations and direct them to DSCB:15-413, Amendment of Foreign Registration, for a registered-office change. Source 1.
Does an LLC need the corporate board authorization statement?
Paragraph 4 applies to business and nonprofit corporations. The LLC must still have its authorized representative execute the statement, but the corporate paragraph should not be turned into an invented LLC board requirement. Source 1.
Can a CROP replace a principal place of business?
The Department says CROPs may not be used for filings that require a principal place of business, including fictitious-name registrations. Use the address appropriate to that separate filing rather than treating the CROP record as a universal business address. Source 2.
