What does Illinois call a company that missed its filings?
“administratively dissolved” (the Secretary of State issues a “certificate of dissolution”); before dissolution the Secretary of State sends a “notice of delinquency”. SOS guidance also describes interim “delinquent” and “penalty” status for a late annual report.
What triggers it in Illinois?
Failing to file the annual report and pay its fee before the first day of the anniversary month, or failing to pay any fees, penalties or charges under the Act; failing to file any other required report; misrepresenting a material matter in a filing; failing to appoint and maintain an Illinois registered agent; a manager or member failing to answer Secretary of State interrogatories; or a payment to the Secretary of State being returned (e.g. insufficient funds) and not replaced.
Before it happens
The Secretary of State mails a notice of delinquency to the registered office (or last known principal-office address). For an unfiled annual report / unpaid fees or an unfiled report, the LLC has 120 days after the notice date to correct the default; for misrepresentation, no registered agent, unanswered interrogatories or a returned payment, it has 60 days. If not corrected, the Secretary of State issues a certificate of dissolution.

Is there a deadline to reinstate a Illinois LLC?
No statutory time limit: 805 ILCS 180/35-40 allows reinstatement at any point following issuance of the notice of dissolution. (In practice SOS asks for at most six years of delinquent annual reports.)
Do you need tax clearance in Illinois?
No
No tax clearance certificate is required by 805 ILCS 180/35-40 for an LLC. (SOS guidance for not-for-profit corporations says a current Illinois Department of Revenue hold blocks electronic reinstatement; no equivalent LLC statement was found.)
What happens to the company name meanwhile?
The statute does not reserve the name during dissolution. If the name is no longer available when the application is filed, the application must set out a changed name, adopted in compliance with Sections 1-10 and 5-25.
What changes once it is fixed?
On filing, the LLC’s existence is deemed to have continued without interruption from the date of the notice of dissolution; it stands revived as if it had not been dissolved; acts of members, managers, officers, employees and agents during the gap are ratified; and no member, manager or officer is personally liable for LLC debts incurred during administrative dissolution merely because the LLC was dissolved.
What changes for corporations in Illinois?
Corporations fall under the Business Corporation Act of 1983 (805 ILCS 5/12.35 grounds, 12.40 procedure, 12.45 reinstatement). Grounds also include failing to pay franchise tax with the annual report. After the Notice of Delinquency, a corporation has 90 days (not 120) to cure report/fee/agent defaults and 30 days for the other grounds. Reinstatement requires filing all reports and paying all fees, franchise taxes and penalties. The same relation-back and liability protection applies, and there is no statutory time limit. SOS guidance adds that a corporation cannot reinstate online if it has a current Illinois Department of Revenue hold or has more than six years of delinquent reports.
