Illinois registered agent requirements

The rule

Governing statute: 805 ILCS 180/1-35 (registered agent and registered office) and 805 ILCS 180/1-36 (change of agent or office) for LLCs, with the annual report at 805 ILCS 180/50-1; corporations under 805 ILCS 5/5.05 and 805 ILCS 5/14.05

The registered office must be located in Illinois, have a street or road address or a rural route and box number (a PO box alone will not be accepted), and be identical to the business office address of the registered agent. The agent must be an individual who resides in Illinois or an entity authorized to transact business in Illinois, and may be an organizer, manager, member or employee of the company.

Because the registered office must be the agent’s own business office, someone has to be at that Illinois address to accept service of process and the Secretary of State’s mail — the state sends the pre-filled annual report to the registered agent about forty-five days before it is due.

If you have no agent

The Secretary of State’s own guidance is blunt: failure to maintain a registered agent and a registered office will ultimately result in the involuntary dissolution of the company, and in the meantime the annual report notice never reaches you.

Illinois specific: Illinois dates the annual report from your anniversary month, not a fixed calendar day: it is due before the first day of the month your Articles of Organization took effect. Two Illinois quirks follow from that — the registered office must be identical to the agent’s own business office, and a change of agent cannot ride along on the annual report, it takes Form LLC-1.36/1.37 or the separate online application. For-profit corporations also still owe Illinois franchise tax with their annual report.
