How do you reinstate a Nevada LLC?
File the ‘Certificate of Reinstatement/Revival’ (tick Reinstatement or Revival), naming a registered agent with its acceptance, and choosing revival date and duration for revivals. A current Annual List and the State Business License form must accompany it. If the name is taken, add the ‘Application for Reinstatement or Revival’ (new name). File online at nvsos.gov or by mail or in person in Carson City or Las Vegas. The fee depends on how late the filing is and whether it is a reinstatement or a revival, and the SOS asks filers to call to calculate it. For a domestic LLC revival (NRS 86.580), members designate the signer and a majority of members approve in writing.

After 5 years the LLC cannot be reinstated but can seek a renewal or ‘revival’ of its charter under NRS 86.580 by filing a certificate of revival (the same SOS Certificate of Reinstatement/Revival form, ‘Revival’ box). The revival date may be earlier than the certificate date, and the revival may be perpetual. For domestic LLCs a majority of members must approve in writing.
Do you need tax clearance in Nevada?

No tax clearance letter is required by the SOS form. It requires a current Annual List and the State Business License form (the State Business License is administered by the SOS).
What happens to the company name meanwhile?
If the original name has been taken or reserved by another entity in the meantime, the LLC must submit a new, distinguishable name in writing at the time of reinstatement or revival, using the ‘Application for Reinstatement or Revival’ (NRS 86.278).
