What does Oklahoma call a company that missed its filings?
Statute: the LLC “shall cease to be in good standing” 60 days after a missed annual certificate (18 O.S. 2055.2(D)), and its articles of organization are “deemed to be canceled” three years after the due date (18 O.S. 2012.1(B)). The Secretary of State FAQ says the entity “becomes inactive and not in good standing” and that the online status then reads “Terminated” or “Expired”.
What triggers it in Oklahoma?
Failing to file the annual certificate (which confirms the LLC is an active business and gives its principal place of business address) and pay the annual certificate fee, due each year on the anniversary of the articles of organization; or, where the Secretary of State acts as registered agent, failing to pay the registered agent fee (18 O.S. 2055.1). No tax-agency suspension of LLCs was found in the LLC Act.
Before it happens
The Secretary of State emails a notice of the annual certificate at least 60 days before the anniversary date. If the certificate and fee are not filed within 60 days after the due date, the LLC ceases to be in good standing (the FAQ calls this a 60-day grace period). If still unfiled three years after the due date, the articles are deemed canceled, effective on the third anniversary of the due date.
How do you reinstate a Oklahoma LLC?
Application for Reinstatement (SOS Form 145, FM0145, rev. 10/24), filed under 18 O.S. 2055.3: states the entity name, state of formation and the date it ceased to be in good standing, signed by a manager, with all delinquent annual certificates and fees for each year attached. Filed with the Secretary of State in Oklahoma City (the form lists a mailing address; forms are downloadable from the SOS forms page).

Yes: all delinquent annual certificates must be filed and all delinquent annual certificate fees (or registered agent fees) paid; the SOS says an Annual Certificate form is required for each year past due.
Is there a deadline to reinstate a Oklahoma LLC?
No time limit is stated: 18 O.S. 2055.3 lets an LLC not in good standing apply for reinstatement, expressly including one whose articles have been deemed canceled under 2012.1(B) after three years; 2012.1(C) confirms canceled LLCs may apply under 2055.3.
Do you need tax clearance in Oklahoma?
No
None required for LLCs: 18 O.S. 2055.3 and Form 145 require only the application and all delinquent annual certificates and fees.
What happens to the company name meanwhile?
Partly: a new LLC name must be distinguishable from names of LLCs in good standing now or at any time during the preceding three years, so the name stays blocked for others for three years after the LLC ceases to be in good standing. If the name is no longer available at reinstatement, the application must state a new current name, and acceptance of the reinstatement amends the articles to that name.
What changes once it is fixed?
Reinstatement relates back and takes effect as if the LLC had never ceased to be in good standing and as if its articles had never been canceled; property and rights held at cancellation or acquired afterwards and not disposed of vest in the LLC. Missing the annual certificate does not impair the validity of the LLC’s contracts, deeds, liens or acts, and members/managers are not personally liable solely because of the lapse. While not in good standing the LLC cannot maintain a lawsuit in Oklahoma courts (it can defend) and the SOS will not accept other filings or issue a good-standing certificate.
What changes for corporations in Oklahoma?
Materially different. Oklahoma corporations file no SOS annual certificate; they lose standing through the Oklahoma Tax Commission franchise tax: if the franchise tax report is not filed and the tax not paid on time, the Tax Commission may order “the suspension of the charter” and “the forfeiture of all corporate or other rights” (68 O.S. 1212(A)), recorded by the Secretary of State and effective on recording (1212(E)). Officers and directors can be personally liable as partners for debts incurred with their consent after forfeiture, the corporation cannot sue, and post-forfeiture contracts are voidable (1212(C)). Revival requires paying accrued fees and penalties plus a reinstatement fee and showing full compliance with state law, before the charter’s stated life expires (1212(F)).

There is no separate tax clearance step for a Oklahoma LLC, so the filing comes first, with the missed filings and fees described above.
