Pennsylvania does not require a registered agent at all. It requires a registered office address in the Commonwealth, which a Commercial Registered Office Provider can supply. Why Pennsylvania says registered office

The rule

Governing statute: 15 Pa.C.S. §§ 1507, 5507, 8625 and 8825 (registered office), § 109 (commercial registered office provider in lieu of a registered address), § 135(c) (addresses) and § 146 (annual report)

Every domestic corporation, limited liability company, limited partnership and limited liability limited partnership must have and continuously maintain a registered office in the Commonwealth, which may but need not be its place of business. Post office boxes are not acceptable for any address: under 15 Pa.C.S. § 135(c) an actual street or rural route box number must be used, and the Department of State is required to refuse any document that sets forth only a PO box.

Pennsylvania frames the duty as an address rather than a person, so there is no statutory business-hours test for an agent. What the address has to do is receive service and official Department of State mail reliably — which is exactly why an entity with no Pennsylvania location uses a Commercial Registered Office Provider.

If you have no agent

Listing a Commercial Registered Office Provider’s address without having entered into a contract with that provider can subject the filer to civil and criminal penalties. Separately, failing to file the annual report subjects the association to administrative dissolution, termination or cancellation and loss of the protection of its name, beginning with annual reports not filed in 2027.

Pennsylvania specific: Pennsylvania is the state that does not have registered agents. It requires a registered office address in the Commonwealth, and a business with no Pennsylvania address lists a Commercial Registered Office Provider "c/o" in place of a street address under 15 Pa.C.S. § 109. Since January 1, 2025 every association also files an annual report — corporations by June 30, LLCs by September 30, everything else by December 31 — with administrative dissolution starting from reports not filed in 2027.

Can you be your own registered office provider in Pennsylvania?

There is no agent to be. Pennsylvania asks for a registered office address, not a registered agent, and you may list your own Pennsylvania street address for it. That address becomes public, and a PO box is rejected outright — the Department of State must refuse any filing that gives only a post office box.
