The rule
Governing statute: Ley Núm. 164-2009, "Ley General de Corporaciones" — Capítulo 15 (informe anual for corporations) and Art. 21.03(c) (derecho anual for limited liability companies); filings are governed by Reglamento Núm. 8688, the Reglamento Electrónico de Corporaciones y Entidades
The certificate of incorporation must state the corporation’s designated office in Puerto Rico by physical and mailing address, including street, number and municipality, and name the resident agent in charge of that office. After a change of resident agent, the designated office address and the resident agent’s business address must be identical.
Puerto Rico publishes no statutory business-hours rule. The resident agent is the person or entity in charge of the designated office on the island, and the written consent of a new resident agent must appear in the certificate of change or be attached to it.
If you have no agent
A resident agent may resign with or without designating a successor. Resigning without a successor leaves the entity with nobody on the island to receive service until a replacement is filed. Separately, missing the April 15 annual report or annual fee draws a penalty plus interest that accrues monthly, and continued default can lead to cancellation of the corporation or LLC.
