What the name must contain

AS 10.45.120(a): "The corporate name of a professional corporation shall contain the last name of one or more of its shareholders, unless the regulations of a particular regulating board or the ethics of a profession permit the use of a corporate name which does not include the surname of any present or former shareholder. The corporate name shall be ended by the word 'Corporation,' 'Incorporated,' or 'Limited,' or by the abbreviation 'Corp.,' 'Inc.,' or 'Ltd.,' or by the words, 'a professional corporation,' or by the abbreviation 'P.C.'" Subsection (b) adds the ordinary distinguishability test against the Department of Commerce, Community, and Economic Development's records.

Is there a PLLC name rule in Alaska?

Alaska sets no professional LLC name rule. AS 10.50.020(a) requires only that the name "contain the words 'limited liability company' or the abbreviation 'L.L.C.,' or 'LLC'", with "limited" abbreviable as "Ltd." and "company" as "Co." There is no professional variant and no PLLC designator in the chapter.

Does a licensing board have to approve the filing?

Yes, and Alaska is stricter than the others here. AS 10.45.010(b): "A certificate from the regulatory board of the profession involved certifying that each of the incorporators, directors, and shareholders is licensed to practice the profession shall be filed with the articles of incorporation." The board's certificate is part of the formation filing, not a later step. AS 10.45.010(a) also requires the articles to name the profession to be practiced and to list all original shareholders, directors and officers. AS 10.45.180 preserves the regulatory boards' authority and duties. For a limited liability company rendering a professional service the LLC chapter imposes no equivalent certificate, but AS 10.50.015 provides that where "the purpose for which a limited liability company is organized is subject to another provision of law, the company shall also comply with the other provision of law."

Which occupations Alaska treats as professional

A general test resting on state licensure. AS 10.45.500(4): "'professional service' means a type of highly skilled, technical, and specialized personal service rendered to the public by persons licensed by the state". Subsection (5): "'regulatory board' means an agency of the state having jurisdiction to grant a license to render professional service." There is no enumerated occupation list in the chapter. AS 10.45.020 adds a one-profession-per-corporation rule: "A professional corporation may render one type of professional service only."

Does the agent requirement differ from an ordinary Alaska LLC’s?

No. Alaska sets no separate agent requirement for a professional entity — it is the same requirement an ordinary Alaska LLC files under.

No separate agent rule appears in the Professional Corporation Act. AS 10.45.240 applies the Alaska Corporations Code to professional corporations, which "enjoy the powers and privileges and are subject to the duties, restrictions, and liabilities of other corporations, except when inconsistent with this chapter." The LLC chapter's registered office and agent provision, AS 10.50.055, draws no distinction for companies rendering professional services.

Why Alaska answers this way

Alaska has no professional limited liability company, and the reason is worth stating precisely, because it is not the California reason. Alaska does not bar licensed people from an LLC. It does the opposite: AS 10.50.010 reads in full, "A limited liability company may be organized under this chapter for any lawful purpose, including the rendering of a professional service." An Alaskan dentist or engineer forms an ordinary LLC under AS 10.50 and carries an ordinary LLC name. What Alaska does not have is a separate professional LLC form, a PLLC designator, or a professional LLC article in its statute. The distinct professional entity Alaska does keep is the professional corporation, and that one is demanding: one profession only, a regulatory board's certificate filed with the articles, shares issuable only to licensees or their revocable trusts (AS 10.45.050), no voting trusts (AS 10.45.100), and no shareholder, director or officer of more than one professional corporation at a time (AS 10.45.060).
