What Wyoming offers instead
What creates it in Wyoming
Wyo. Stat. §§ 17-3-101 to 17-3-104 (Title 17, Chapter 3, Practice of Professions by Corporations)
What the name must contain
The corporate name of every professional corporation must contain either the words 'A Professional Corporation' or the capital initials 'P.C.', and those words or initials must be the last word of the name (Wyo. Stat. § 17-3-103).
Which occupations Wyoming treats as professional
A general licensed-profession test, not a list. Wyo. Stat. § 17-3-101 applies to a corporation organized under the Business Corporation Act or the Statutory Close Corporation Supplement 'whose capital stock is owned exclusively by a person or persons licensed to practice a profession by the state of Wyoming or by an agency, office or instrumentality authorized by the laws of Wyoming to license individuals for the practice of such profession'. § 17-3-102 lets the corporation practise only through licensed stockholders or licensed employees, each of whom stays fully liable for their own professional work. § 17-3-104 requires the articles to carry a set statement that all shareholders are and will remain licensed and that no professional service will be offered except by or under the supervision of licensed stockholders or employees, placed immediately after the authorized-shares provision.
Does the agent requirement differ from an ordinary Wyoming LLC’s?
No. Wyoming sets no separate agent requirement for a professional entity — it is the same requirement an ordinary Wyoming LLC files under.
Chapter 3 says nothing about the registered agent. A professional corporation files on the Secretary of State's standard Profit Corporation Articles of Incorporation and names its registered agent there under Wyo. Stat. § 17-28-101 et seq., with the same consent-to-appointment form, physical Wyoming address and e-mail requirement as any corporation.
Why Wyoming answers this way
Wyoming has no professional limited liability company. The Wyoming Limited Liability Company Act instead says in § 17-29-104(e) that nothing in the Act precludes 'an individual whose occupation requires licensure under Wyoming law from forming a limited liability company if the applicable licensing statutes do not prohibit it and the licensing body does not prohibit it by rule or regulation', and that the LLC may offer professional services only through its licensed members or employees, who remain personally liable for their own professional acts. The same formula appears for registered limited liability partnerships in § 17-21-1105. Licensed professionals therefore form an ordinary LLC on the standard Articles of Organization; the Secretary of State's LLC instructions, 'The Choice is Yours' publication and 'How to Choose a Company Name' guide contain no professional option, and the LLC name rule in § 17-29-108 has no professional designator. The professional corporation is the only professional form with its own name rule, and the Secretary of State publishes no separate form for it. A professional corporation may also elect statutory close corporation status (§ 17-17-102(b)).
