Governing statute: T.C.A. § 48-249-110 (Tennessee Revised Limited Liability Company Act — change of registered agent) and § 48-15-102 (Tennessee Business Corporation Act); annual report at T.C.A. § 48-249-1017 for LLCs and § 48-26-203 for corporations

The registered agent and registered office must be located in Tennessee, and the Secretary of State rejects a post office box for the registered agent or registered office address — the address is verified and the filing is refused if it cannot be recognized as valid. After a change, the registered office address and the agent’s business office address must be identical.

Tennessee frames the role as an entity that agrees to accept legal mail on the company’s behalf and must be reachable at the Tennessee registered office. Since 2026 the change form also requires the new registered agent’s business email address, so the state has a second channel on file.

Being without a registered agent is one of the Secretary of State’s named grounds for administrative dissolution or revocation, right beside failing to file the annual report. Reinstating means an Application for Reinstatement (SS-9410) plus every late annual report.

Tennessee specific: Tennessee does not run on a calendar: the annual report is due on or before the first day of the fourth month following the close of the entity’s fiscal year, so a December year-end means April 1 and any other year-end means something else entirely. The state has also moved its filings into TNCaB, its Charity and Business Filing System, and you must create a TNCaB account before you can file an annual report at all. General partnerships are the one entity type Tennessee does not require to maintain a registered agent.
