What does North Carolina require of your registered agent?
The rule
Governing statute: N.C. Gen. Stat. § 55D-30 (registered office and registered agent required) and § 55D-31 (change of registered office or registered agent); applied to LLCs by N.C. Gen. Stat. § 57D-2-40
Each registered agent must continuously maintain a physical registered office in North Carolina where the agent can receive notices, demands and service of process for the entity, and the address of the registered office and the address of the agent’s business office must be identical. The agent either resides in North Carolina — you may be your own agent if you live here — or is a domestic or foreign corporation, nonprofit or LLC.
The registered agent must agree to act, and its sole statutory duty to the entity is to forward to the entity at its last known address any notice, process or demand served on the agent, so the registered office has to be attended.

Where an entity fails to appoint or maintain a registered agent, or the agent cannot with due diligence be found at the registered office, the Secretary of State becomes the entity’s agent and process may be served on the state — a suit can proceed without the papers ever reaching you. Entities that stop filing annual reports face a Notice of Grounds for Administrative Dissolution or Revocation.
