What does Iowa call a company that missed its filings?

“administratively dissolved” (the Secretary of State signs a “certificate of dissolution”; reinstatement produces a “certificate of reinstatement”).

What triggers it in Iowa?

Not paying any fees, taxes, interest or penalties under chapter 489 or other Iowa law within 60 days after they are due; not delivering the biennial report (due January 1 to April 1 of odd-numbered years, per 489.212) within 60 days after it is due; being without a registered agent, or the agent having no place of business in Iowa, for 60 days or more; not notifying the Secretary of State within 60 days of a change, resignation or discontinued address of the registered agent; or expiry of a period of duration stated in the certificate of organization.

Before it happens

The Secretary of State serves written notice of the grounds. If the LLC does not correct each ground, or show that it does not exist, within 60 days after service, the Secretary of State administratively dissolves it by signing a certificate of dissolution.

How do you reinstate a Iowa LLC?

Application for Reinstatement (SOS form 635_2001). It states the name at dissolution, the dissolution date, that the grounds did not exist or have been eliminated, and a new name if the old one is unavailable. File it online through Fast Track Filing (Business Filings > File a Document > Existing Entities > Application for Reinstatement), which then prompts for the required biennial reports, or deliver the paper form to the Secretary of State.

Missed filings and fees

The statute requires only a statement that the grounds for dissolution did not exist or have been eliminated. SOS form instructions say an LLC dissolved for not filing biennial reports must file at least the two most recent delinquent biennial reports and pay all delinquent fees with the application. An LLC dissolved for lacking an agent must file a statement of change naming one, and one dissolved because its duration expired must file an amendment.

Is there a deadline to reinstate a Iowa LLC?

No deadline. An administratively dissolved LLC may apply for reinstatement at any time after the effective date of dissolution. The five-year mark matters only for keeping the name.

Do you need tax clearance in Iowa?

No

No tax clearance is required. Before 2024 the application had to carry the federal tax ID so the SOS could have Iowa Workforce Development check for unemployment-insurance delinquencies. 2024 Acts ch 1048 (SF 2054) removed that requirement, and current 489.710 contains no tax ID or clearance requirement.

What happens to the company name meanwhile?

Yes. An LLC keeps the right to its name if reinstatement is effective within five years of the dissolution date. If the application is received more than five years after dissolution, it must state a name that satisfies section 489.112 (i.e. is available). A changed name operates as an amendment to the certificate of organization.

What changes once it is fixed?

Reinstatement relates back to and takes effect as of the effective date of the administrative dissolution, as if the administrative dissolution had never occurred. While dissolved, the LLC continues to exist but may only wind up, and its registered agent’s authority continues. A denial may be appealed to district court within 30 days.

What changes for corporations in Iowa?

No material difference found. Business corporations fall under Iowa Code 490.1420-490.1422, which mirror the LLC rules: the same grounds (biennial report, 60-day periods, registered agent, expired duration), 60-day cure after notice, reinstatement at any time, name retained if reinstated within five years, relation back, and the same SOS Application for Reinstatement form.
