Iowa registered agent requirements

The rule

Governing statute: Iowa Code § 489.115 (registered agent), § 489.116 (statement of change) and § 489.212 (biennial report) for LLCs; corporations under Iowa Code § 490.501 and § 490.1621

A registered agent for an LLC must have a place of business in Iowa, and the biennial report has to state the agent’s name and street address. For corporations Iowa Code § 490.501 is stricter still: the agent must be an Iowa resident or an authorized entity whose business office is identical with the registered office.

The agent’s only statutory duties are to forward any process, notice or demand to the company at its most recent address, to give notice if it resigns, and to keep its own information current — which only works if the Iowa address is staffed and the company’s forwarding address is up to date.

If you have no agent

Iowa Code § 489.708 makes it a ground for administrative dissolution if the company is without a registered agent — or its agent has no place of business in Iowa — for sixty days or more, or if the state is not told within sixty days that the agent changed, resigned or gave up the address. The Secretary of State then serves written notice, and if the ground is not corrected within sixty days it signs a certificate of dissolution and the company exists only to wind up its affairs.

Iowa specific: Iowa has no annual report. Every entity files a biennial report between January 1 and April 1, and which year you file depends on entity type rather than on when you formed: LLCs, LLPs and nonprofit corporations file in odd-numbered years, for-profit corporations file in even-numbered years. Most filings, including the Statement of Change of registered agent, run through Fast Track Filing, the Secretary of State’s online system.
