Michigan resident agent requirements

The rule

Governing statute: MCL 450.4207 (limited liability companies) and MCL 450.1241 (business corporations)

The entity must continuously maintain a registered office in Michigan, which may but need not be its place of business, and the address of the resident agent’s business office or residence must be the same as the address of the registered office. A resident agent may be an individual resident of Michigan, or a domestic or authorized foreign corporation or LLC with a business office at the registered office — but LARA’s guidance states that a business cannot serve as its own resident agent.

The resident agent is the person on whom any process, notice or demand may be served, and LARA mails annual statement and annual report forms and impending-dissolution notices to the resident agent at the registered office, so the address must be attended.

If you have no agent

If the company fails to appoint or maintain an agent, or the agent cannot be found through reasonable diligence, service of process may be made by delivering or mailing the summons and complaint to the administrator — the suit proceeds whether or not it reaches you. Miss the annual filing and the entity loses good standing; after two years the name becomes available to other filers.

Michigan specific: Michigan runs two different annual calendars in one state: LLCs and PLLCs file an annual statement by February 15, profit corporations file an annual report by May 15, and nonprofits file by October 1. An LLC formed or qualified after September 30 skips the very next February 15. LARA also requires the resident agent’s address and the registered office to be one and the same, and states that a business cannot act as its own resident agent.

Can you be your own resident agent in Michigan?

You can serve personally if you are a Michigan resident whose business office or residence is the registered office — but the company itself cannot be its own resident agent, and LARA says so directly. The agent’s address and the registered office must be identical and both are public, so a home address goes on the record.
