Arkansas Registered Agent Service

Yes. Every entity registered in Arkansas must keep either a commercial registered agent or a non-commercial registered agent on file with the Secretary of State, at a physical Arkansas street address. A post office box is not an acceptable registered agent address, and Business and Commercial Services will return a filing that uses one.

Arkansas registered agent requirements

The rule

Governing statute: Ark. Code Ann. § 4-20-101 et seq. — the Model Registered Agents Act of 2007, which Arkansas adopted — with commercial agents listed under § 4-20-106; the corporation code is at Ark. Code Ann. § 4-27-101 et seq.

The registered agent address must be a physical Arkansas street address. The Secretary of State states plainly that a post office box is not an acceptable address for a registered agent, and incomplete documents are returned to the applicant for correction.

Arkansas does not fix statutory office hours, but the whole point of the registered agent under the Model Registered Agents Act is to accept service of process and other notices on the entity’s behalf, so somebody has to be reachable at that Arkansas address.

If you have no agent

All entities must have a commercial or non-commercial registered agent on file. Lose the agent and you lose your reliable channel for lawsuits; the state can revoke the authority to do business, and franchise taxes keep accruing even for a revoked entity until it is formally dissolved, withdrawn or merged.

Arkansas specific: Arkansas has no separate annual report for corporations and LLCs — the annual franchise tax report, due on or before May 1, is the filing that keeps you in good standing, and only LPs, LLPs and LLLPs file an annual report. Arkansas also adopted the Model Registered Agents Act of 2007, so agents are formally split into commercial agents listed with the Secretary of State and non-commercial agents named entity by entity.

Can you be your own registered agent in Arkansas?

Yes. Arkansas lets an entity name a non-commercial registered agent, which can be you, provided you have a physical Arkansas street address. The address goes on the public record and cannot be a post office box, so a mailbox service will not do. And because Arkansas blocks every other Business and Commercial Services filing while franchise tax is unpaid, a missed May 1 report freezes your ability to change agents at all. Question 1 of 3

Is it fine if your home or office address goes on the public record?

As your own registered agent, the street address you list is the one that appears on Arkansas's public record.

Should you even hire a registered agent?

If you live in Arkansas, keep regular hours at a fixed address, and run one entity, you may not need us, and we will tell you so. A service earns its keep when you value privacy, travel, run more than one entity, or operate across state lines.

Arkansas registered agent FAQ

Do I need a registered agent in Arkansas?

Yes. Every entity registered in Arkansas must keep a commercial or non-commercial registered agent on file with the Secretary of State under the Model Registered Agents Act of 2007, Ark. Code Ann. § 4-20-101 et seq. The address must be a physical Arkansas street address; the Secretary of State states that a post office box is not acceptable and will return the filing.

Can I be my own registered agent in Arkansas?

Yes. Arkansas lets you serve as your own non-commercial registered agent if you have a physical Arkansas street address. The catch is that the address becomes public and cannot be a post office box or mail drop, and if you are ever unreachable there the lawsuit still moves forward without you.

What happens if my Arkansas LLC has no registered agent?

You lose the channel through which lawsuits and state notices reach you. Arkansas requires every registered entity to keep an agent on file, and the state can revoke the authority to do business. Franchise taxes keep accruing even for a revoked entity until it is formally dissolved, withdrawn or merged, so the problem compounds quietly.

How do I change my registered agent in Arkansas?

File a Notice of Change of Registered Agent — Form DO-03 for an LLC — online through the Secretary of State’s filing system or on paper to Business and Commercial Services. Give a physical Arkansas street address, not a post office box. Check your franchise tax first: Arkansas blocks other filings for entities that have not paid, so an unpaid report stops the change.

How much does an Arkansas registered agent cost?

Pricing is custom to your portfolio of entities and states, and most quotes are same-day. Call 212-202-5750 or start a filing and we’ll price exactly what you need. State filing fees are set by the state and confirmed with you before anything is filed, so nothing is submitted until you have seen the full cost.
