Delaware registered agent requirements

The rule

Governing statute: 6 Del. C. § 18-104 (LLCs); 8 Del. C. § 132 (corporations)

The agent must maintain a physical business office in Delaware (street, number, city, postal code); a PO box alone is not sufficient.

The office must be generally open, or an individual agent generally present, during normal business hours to accept service of process.

If you have no agent

The LLC loses good standing and, if a resigned agent is not replaced within 30 days, its Certificate of Formation can be canceled or voided, exposing it to default judgments.

Delaware specific: Delaware LLCs, LPs and GPs file no annual report — they owe only the flat annual tax due June 1. Delaware corporations are on a different clock: an annual report and franchise tax due on or before March 1 each year (June 30 for foreign corporations), with the tax calculated by the Authorized Shares Method or the Assumed Par Value Capital Method.
