New Jersey registered agent requirements

Governing statute: N.J.S.A. 42:2C-14 (office and agent for service of process, Revised Uniform LLC Act); N.J.S.A. 14A:4-1 (corporations)

An LLC must designate and continuously maintain in New Jersey an office, which need not be a place of its activity, and an agent for service of process. The Division’s own filing instructions require a New Jersey street address for the registered office; a PO box may be used only if the street address is listed as well. For corporations, the registered office address and the registered agent’s address must be identical.

The agent is an individual who is a resident of New Jersey or another person with authority to transact business in the state, and only one agent may be named — so that New Jersey street address is the single place process and the state’s notices land.

New Jersey sends the reminder for your annual report to the registered agent sixty days before it is due. Miss two annual reports and you may lose your authority to do business in New Jersey, your Business Registration Certificate may be invalidated, and access to state services, funding and licenses can go with it.

New Jersey specific: Starting a business in New Jersey is a two-step act: the Public Records Filing creates the entity, then Form NJ-REG registers it for tax and employer purposes — due within sixty days of the entity filing and at least fifteen business days before you commence business. The annual report then falls in your formation-anniversary month every year, is filed online, and the state’s reminder goes to your registered agent sixty days ahead. New Jersey also allows a PO box in the registered office address, but only where the street address is listed with it.
