Governing statute: KRS 14A.4-010 (registered office and registered agent required) and KRS 14A.6-010 (annual report), applied through KRS 271B for corporations and KRS 275 for LLCs
The registered office must be in Kentucky and must be a street address or other specific location — a highway, rural route or building — because a post office box is insufficient for the registered office address. The agent must be an individual resident of the Commonwealth or a Kentucky or foreign corporation, nonprofit corporation or LLC authorized to transact business in Kentucky.
Service of process and the Secretary of State’s notices go to the registered office, so that Kentucky address has to be a real place where someone receives mail and papers.
