The rule
Governing statute: NMSA 1978, § 53-19-5 (New Mexico Limited Liability Company Act, Chapter 53, Article 19)
The LLC must maintain a registered office at a physical New Mexico street address, and a registered agent whose place of business is that same office. The agent must be a New Mexico resident, or a domestic or foreign entity authorized to do business in New Mexico with a place of business at the registered office. A PO box alone does not satisfy the requirement.
The agent must be physically present at the registered office and available during normal business hours to accept service of process and official mail.
If you have no agent
Without a valid agent the LLC cannot be reliably located for service. Under NMSA 53-19-7 the Secretary of State becomes the default agent for service of process, so suits can proceed and default judgments can be entered without the owner’s knowledge, and the entity risks loss of good standing and administrative revocation.
